Depending on your relationship with Saconde and the Services or transactions in which you participate, additional agreements may apply, including Saconde's Terms & Conditions, Seller Terms & Conditions, Buyer Terms, Consignment Terms, authentication terms, payment or payout terms, and other applicable policies or agreements.

## 2. CONSENT TO RECEIVE COMMUNICATIONS

By affirmatively opting in to an applicable Saconde SMS or mobile messaging program, you expressly consent to receive the categories of messages described in the applicable opt-in disclosure, consent form, checkout page, account setting, website form, mobile application screen, keyword enrollment flow, or other enrollment mechanism.

Where required by applicable law, Saconde will obtain prior express consent or prior express written consent before sending marketing or promotional text messages using automated technology.

**Consent to receive marketing or promotional text messages is not a condition of purchasing any goods or services from Saconde.**

Providing a mobile telephone number to Saconde does not, by itself, constitute consent to receive marketing or promotional text messages except to the extent otherwise permitted by applicable law or where the individual separately provides the required consent.

Depending on the consent you provide, your relationship with Saconde, your requests, your account activity, and applicable law, messages may be sent using:

* SMS;

Your consent applies only to the categories of communications, messaging programs, telephone numbers, and purposes covered by the applicable enrollment or consent mechanism and applicable law.

## 4. ELECTRONIC SIGNATURE AND WRITTEN CONSENT

Where you affirmatively provide consent through an electronic process, you acknowledge that your electronic action may constitute your electronic signature and may satisfy applicable requirements for written consent, to the extent permitted by law.

Electronic consent mechanisms may include:

* selecting an unchecked checkbox;
* tapping or clicking an acceptance button;
* submitting an online form;
* entering a telephone number and affirmatively agreeing to disclosed terms;
* replying with a designated keyword;
* enrolling through a mobile application;
* providing consent through an account setting; or
* using another affirmative enrollment method.

Where applicable, you authorize Saconde and service providers acting on Saconde's behalf to send communications using automated technology to the mobile number for which you provided valid consent.

Nothing in these SMS Terms creates consent beyond the scope of the consent actually provided by you or otherwise permitted by applicable law.

## 5. MOBILE NUMBER ACCURACY AND AUTHORIZED USE

You represent and warrant that:

* any mobile telephone number you provide to Saconde is accurate and current;
* you are the subscriber, customary user, or otherwise authorized user of the telephone number provided;
* you are authorized to provide any consent associated with that telephone number; and
* you will not knowingly provide a telephone number belonging to another person without authorization.

You agree to promptly update your information if your mobile telephone number changes or if you are no longer the subscriber, customary user, or authorized user of a telephone number provided to Saconde.

If you believe your telephone number has been provided to Saconde without your authorization, contact Saconde at Hello@saconde.com.

## 6. MESSAGE FREQUENCY

Message frequency varies and depends on factors including:

* the messaging program in which you enroll;
* the consent you provide;
* your account activity;
* your purchases;
* your seller activity;
* your consignment activity;
* your buyout activity;
* your authentication requests;
* promotions;
* security events;
* fraud-prevention activities;
* operational needs;
* customer-support interactions;
* legal or compliance obligations; and
* other interactions with Saconde.

Marketing messages may be recurring.

Transactional, security, authentication, fraud-prevention, customer-support, and operational messages may be sent as needed in connection with your requests, transactions, account activity, security events, or use of the Services.

Saconde does not guarantee any particular message frequency, timing, or delivery schedule unless expressly stated in the applicable messaging-program disclosure.

## 7. MESSAGE AND DATA RATES

Message and data rates may apply according to your wireless carrier, service provider, and mobile plan.

You are responsible for any applicable:

* carrier charges;
* text messaging fees;
* data charges;
* roaming charges;
* mobile service fees; and
* other charges imposed by your telecommunications provider.

Message and data rates may apply to messages sent to and received from Saconde.

Wireless carriers are not liable for delayed or undelivered messages.

## 8. OPTING OUT AND REVOKING CONSENT

You may opt out of receiving marketing or promotional SMS or MMS messages from Saconde at any time by replying **STOP** to an applicable message or by using another reasonable opt-out method made available by Saconde.

Where supported by Saconde's messaging systems, customary opt-out keywords may include:

* STOP;
* CANCEL;
* END;
* QUIT;
* REVOKE;
* OPT OUT; and
* UNSUBSCRIBE.

Opt-out instructions are not case-sensitive.

Saconde will process valid opt-out and revocation requests as soon as reasonably practicable and within the time required by applicable law.

After submitting an opt-out request, you may receive one final non-marketing message confirming that your opt-out request has been received or processed.

An opt-out request applies to the messaging program, telephone number, communication category, or other scope identified by the request and applicable law.

Where required by applicable law, Saconde will honor reasonable requests to revoke consent communicated through other methods that clearly express the individual's desire to stop receiving applicable communications.

Opting out of marketing or promotional messages does not necessarily prevent Saconde from sending non-marketing communications that are necessary or appropriate to:

* complete or administer a transaction you requested;
* provide a requested service;
* respond to an inquiry initiated by you;
* communicate regarding an order, seller submission, consignment, buyout, authentication request, payment, payout, return, or other transaction;
* authenticate your identity or account;
* provide security alerts or one-time passcodes;
* detect or prevent fraud;

* provide legally required notices;
* comply with applicable law, legal process, or regulatory obligations; or
* otherwise communicate with you as permitted by applicable law.

You may separately manage certain communication preferences through your Saconde account, the Saconde mobile application, or other preference-management tools that Saconde may make available.

## 9. CHANGE, TRANSFER, DISCONNECTION, OR REASSIGNMENT OF MOBILE NUMBER

You agree to promptly notify Saconde or update your account information if you:

* change your mobile telephone number;
* surrender your mobile telephone number;
* deactivate your mobile telephone number;
* transfer your mobile telephone number;
* cease to be the subscriber or customary user of your mobile telephone number; or
* otherwise lose control of a telephone number provided to Saconde.

If your mobile number is disconnected, deactivated, transferred, reassigned, or otherwise no longer under your control, any prior consent provided by you does not constitute consent on behalf of a subsequent subscriber, user, or owner of that number.

Saconde may use reasonable measures and third-party services to identify telephone numbers that have been disconnected, deactivated, transferred, or reassigned and may suspend or terminate communications to such numbers.

## 10. HELP AND CUSTOMER SUPPORT

For assistance with an applicable Saconde messaging program, you may:

* reply **HELP** to an applicable text message where available;
* email Saconde at Hello@saconde.com; or
* visit [www.saconde.com](http://www.saconde.com/).

Where applicable, automated HELP responses may identify Saconde, provide customer-support contact information, and provide instructions for opting out.

Support availability, response times, and available assistance may vary.

## 11. ELIGIBILITY

To enroll in a Saconde marketing messaging program, you must:

* be at least 18 years old or the age of majority in your jurisdiction, whichever is greater;
* own, control, or be authorized to use the mobile device and telephone number used for enrollment;
* be legally capable of providing the applicable consent; and
* comply with applicable laws, carrier requirements, and these SMS Terms.

Saconde reserves the right to restrict, suspend, or terminate participation in a messaging program where reasonably necessary for security, fraud prevention, abuse prevention, legal compliance, operational purposes, or enforcement of applicable agreements.

Saconde's collection, use, processing, disclosure, and retention of personal information is governed by Saconde's Privacy Policy and applicable law.

Third-party service providers may also be subject to their own legal obligations and, where applicable, their own privacy policies and terms.

## 13. AI, AUTOMATED SYSTEMS, AND COMMUNICATION ANALYSIS

* classified;
* summarized;

* otherwise processed.

Such processing may occur for purposes including:

## 17. NO GUARANTEE OF DELIVERY OR AVAILABILITY

Saconde does not guarantee:

* message delivery;
* message timing;
* uninterrupted service;
* error-free operation;
* continuous availability;
* compatibility with every device;
* compatibility with every carrier;
* compatibility with every mobile plan;

Message delivery and availability may be affected by factors including:

* carrier limitations;

* device settings;
* device compatibility;
* software issues;
* operating-system settings;
* messaging filters;

Wireless carriers are not liable for delayed or undelivered messages.

## 18. PUSH NOTIFICATIONS AND OTHER COMMUNICATION CHANNELS

Push notifications are not SMS or MMS messages and may be governed by separate device permissions, operating-system settings, application settings, privacy disclosures, and applicable terms.

If you enable push notifications for a Saconde mobile application, Saconde may send notifications concerning:

* account activity;
* transactions;
* purchases;
* orders;

You may generally disable push notifications through your mobile device settings, operating-system settings, or application settings.

Disabling push notifications does not necessarily affect SMS, MMS, email, telephone, in-app, or other communications.

Similarly, opting out of SMS marketing does not necessarily disable push notifications, email marketing, or other communication channels. Communication preferences may need to be managed separately for each channel.

## 19. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SACONDE AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO SMS, MMS, TEXT MESSAGING, MESSAGE DELIVERY, MESSAGE DELAYS, MESSAGE FAILURES, OR PARTICIPATION IN A MESSAGING PROGRAM.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SACONDE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO SMS, MMS, TEXT MESSAGING, OR A MESSAGING PROGRAM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Nothing in these SMS Terms excludes, restricts, waives, or limits any liability, remedy, or right that cannot lawfully be excluded, restricted, waived, or limited under applicable law.

This Section is subject to any additional limitation-of-liability provisions contained in other applicable Saconde agreements.

## 20. CHANGES TO THESE SMS TERMS

Saconde may modify these SMS Terms from time to time.

Updated versions will be posted with a revised effective date or last-revised date.

Where required by applicable law, Saconde will provide additional notice or obtain renewed consent before materially changing the nature or scope of communications covered by a user's existing consent.

Your continued participation in a messaging program following the effective date of updated SMS Terms constitutes acceptance of the updated SMS Terms to the extent permitted by applicable law.

Changes to these SMS Terms do not retroactively expand the scope of consent previously provided by a user where additional consent is required by applicable law.

## 21. SUSPENSION OR TERMINATION OF MESSAGING PROGRAMS

Saconde may modify, suspend, discontinue, or terminate any messaging program, feature, short code, long code, toll-free number, telephone number, or communication channel at any time, subject to applicable law.

Saconde may also suspend or terminate an individual's participation where reasonably necessary because of:

* suspected fraud;
* abuse;
* unauthorized use;
* security concerns;
* legal or regulatory requirements;
* carrier requirements;
* inaccurate contact information;
* disconnected or reassigned telephone numbers;
* violations of applicable agreements; or
* operational needs.

Termination of a messaging program does not affect rights or obligations that by their nature should survive termination.

## 22. GOVERNING LAW AND DISPUTE RESOLUTION

These SMS Terms shall be governed by the laws of the State of New York, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law or other law that cannot lawfully be waived.

Any dispute, claim, or controversy arising out of or relating to these SMS Terms, a Saconde messaging program, or communications sent by or on behalf of Saconde shall be subject to the arbitration, class-action waiver, dispute-resolution, governing-law, venue, and other applicable provisions contained in the Saconde Terms & Conditions or other agreement governing the user's relationship or transaction with Saconde, to the extent applicable and legally enforceable.

Nothing in these SMS Terms shall be interpreted to require arbitration where arbitration cannot lawfully be required or where no valid arbitration agreement applies.

## 23. SEVERABILITY

If any provision of these SMS Terms is determined to be invalid, illegal, void, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law or, where necessary, severed from these SMS Terms.

The remaining provisions shall remain in full force and effect to the fullest extent permitted by applicable law.

## 24. NO WAIVER

Saconde's failure or delay in exercising or enforcing any right, remedy, power, or provision under these SMS Terms does not constitute a waiver of that or any other right, remedy, power, or provision.

Any waiver must be in writing unless otherwise permitted by applicable law.

## 25. ENTIRE AGREEMENT AND RELATIONSHIP TO OTHER TERMS

These SMS Terms constitute the agreement between you and Saconde concerning the messaging programs specifically governed by these SMS Terms.

Additional Saconde agreements, policies, disclosures, and consent language may apply depending on:

* your relationship with Saconde;
* the Services you use;
* the messaging program in which you participate;
* the transaction involved; and
* the context in which you provided consent.

If there is a conflict between these SMS Terms and program-specific consent language concerning the scope of messaging consent, the more specific program-specific consent language will control with respect to that consent, except where prohibited by applicable law.

Nothing in these SMS Terms expands the scope of consent beyond the consent actually provided by you or otherwise permitted by applicable law.
