THESE CONSIGNMENT TERMS AND CONDITIONS (“CONSIGNMENT TERMS”) CREATE A LEGALLY BINDING AGREEMENT BETWEEN YOU (“SELLER,” “CONSIGNOR,” “YOU,” OR “YOUR”) AND SACONDE & SACONDE, LLC (“SACONDE,” “WE,” “US,” OR “OUR”).
PLEASE READ THESE CONSIGNMENT TERMS CAREFULLY BEFORE SUBMITTING, DELIVERING, SHIPPING, OR LEAVING ANY ITEM WITH SACONDE FOR CONSIGNMENT, AUTHENTICATION, EVALUATION, MARKETING, DISPLAY, OR SALE.
THESE CONSIGNMENT TERMS CONTAIN IMPORTANT PROVISIONS CONCERNING:
BY ACCEPTING A CONSIGNMENT OFFER, CHECKING A BOX, TAPPING AN “I AGREE” OR SIMILAR BUTTON, SIGNING ELECTRONICALLY, DELIVERING OR SHIPPING AN ITEM AFTER RECEIVING THESE CONSIGNMENT TERMS, OR OTHERWISE AFFIRMATIVELY AGREEING TO A CONSIGNMENT TRANSACTION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THESE CONSIGNMENT TERMS.
These Consignment Terms govern every item accepted by Saconde for consignment through:
These Consignment Terms supplement Saconde’s then-current General Seller Terms or Seller Terms and Conditions, Privacy Policy, Payment and Payout Terms, Identity Verification and Fraud Prevention Notice, Biometric Notice and Consent, Biometric Data Retention and Destruction Policy, SMS Terms, Push Notification Terms, and other applicable policies.
If there is a direct conflict among applicable documents, the following order of priority applies:
An item-specific Consignment Confirmation controls only as to the specific commercial terms expressly identified in it.
For purposes of these Consignment Terms:
“Accepted Item” means an item Saconde has expressly approved for consignment after any required intake, inspection, authentication, compliance, and identity-verification procedures.
“Buyer Transaction” means any proposed or completed sale, auction, marketplace order, invoice, reservation, installment arrangement, wholesale transaction, private sale, or other transfer involving a Consigned Item.
“Consigned Item” means an Accepted Item held, marketed, listed, displayed, or offered for sale by or through Saconde under these Consignment Terms.
“Consignment Confirmation” means an item-specific record identifying one or more items accepted for consignment and any applicable commission, pricing, duration, or other transaction terms.
“Consignment Period” means the period described in Section 10 or a different period stated in a Consignment Confirmation.
“Final Sale Price” means the price assigned to the item in the completed Buyer Transaction, excluding separately stated sales tax, duties, and buyer-paid shipping unless Saconde expressly determines otherwise.
“Net Sale Proceeds” means the amount remaining after deduction of Saconde’s commission and all authorized fees, costs, losses, offsets, refunds, adjustments, and other deductions.
“Seller” includes an individual consignor and any business, estate, trust, entity, fiduciary, agent, representative, or other person submitting an item.
“Submitted Content” means photographs, videos, descriptions, messages, records, reviews, usernames, likenesses, documents, product information, and other content submitted to Saconde.
Submission or delivery of an item does not guarantee:
Saconde may accept or reject any item in its discretion, subject to applicable law.
Saconde may offer a buyout instead of consignment, offer both options, request additional information, or decline to transact.
Seller must be at least eighteen years old and legally capable of entering into a binding agreement.
Seller represents and warrants that Seller:
Saconde may require:
Saconde may reject an item, suspend an account, delay a transaction, withhold payment, or terminate the relationship if requested information is inaccurate, incomplete, inconsistent, or not provided.
Seller may accept these Consignment Terms through:
Seller agrees that electronic signatures, electronic records, timestamps, account records, transaction logs, device information, IP records, acceptance screens, app activity, email records, SMS records, and similar evidence may be used to establish assent and transaction terms.
Electronic acceptance has the same effect as a handwritten signature to the maximum extent permitted by applicable law.
Seller is responsible for maintaining a device, email address, telephone number, and software capable of receiving and retaining electronic records.
Every submitted item may be reviewed for:
Saconde may use:
Authentication opinions may differ among qualified reviewers. Saconde does not guarantee that another authenticator, platform, brand, buyer, insurer, or court will reach the same determination.
Saconde may reject, quarantine, hold, remove from sale, or investigate an item at any time if new information raises authenticity, ownership, safety, compliance, or fraud concerns.
Seller represents, warrants, and agrees that every item:
Seller must disclose all known:
These representations survive rejection, return, sale, payment, termination, and expiration of the relationship.
If Saconde determines or reasonably suspects that an item is counterfeit, inauthentic, altered, stolen, fraudulently obtained, unlawfully branded, prohibited, unsafe, restricted, or materially misrepresented, Saconde may:
Where Saconde elects to return a suspected or confirmed counterfeit, inauthentic, altered, or prohibited item and return is legally permitted, Seller is responsible for:
Payment of a fee does not require Saconde to return an item.
Seller must reimburse Saconde for losses arising from counterfeit, stolen, unlawful, or materially misrepresented items, including:
Except as otherwise provided in these Consignment Terms, Seller retains ownership of a Consigned Item until title transfers through a completed sale or other authorized disposition.
Seller appoints Saconde as Seller’s exclusive consignee and resale facilitator for the Consignment Period.
Seller grants Saconde the authority to:
Seller agrees not to sell, transfer, pledge, encumber, or otherwise dispose of a Consigned Item while it is in Saconde’s possession or subject to an active Buyer Transaction.
Unless a Consignment Confirmation states otherwise, the standard Consignment Period is ninety days beginning on the date Saconde accepts the item for consignment.
The Consignment Period may be extended:
The expiration of the nominal Consignment Period does not automatically require Saconde to remove an item from an active sale, cancel a pending transaction, or immediately ship the item.
After expiration, Saconde may propose:
Saconde will not donate, liquidate, or dispose of an unsold item solely because the initial Consignment Period expired without first providing notice and a reasonable opportunity to arrange return or otherwise respond, except where the item is counterfeit, prohibited, abandoned, subject to law-enforcement instructions, or immediate action is otherwise authorized by law.
Unless otherwise stated in a Consignment Confirmation, Saconde has discretion over:
Saconde may temporarily raise or lower a price and may participate in:
Saconde does not guarantee any listing price, final price, minimum payout, appraisal value, replacement value, original retail price, or projected resale value.
Unless otherwise stated in writing, Saconde may use the following general markdown schedule:

This schedule is guidance and not a guarantee. Actual pricing may differ because of:
Saconde may exceed the general discount ranges where commercially reasonable unless an item-specific written agreement establishes a binding minimum price.
When Saconde chooses to request Seller approval for a proposed price adjustment, Seller must respond within forty-eight hours after notice. Unless prohibited by law or an item-specific agreement, failure to respond within forty-eight hours constitutes approval of the proposed adjustment.
Saconde may market or sell Consigned Items through:
Third-party platforms may impose their own:
Seller authorizes Saconde to comply with applicable platform rules and to make commercially reasonable decisions needed to preserve accounts, customer relationships, and sales opportunities.
Saconde may inspect, clean, steam, polish, photograph, package, condition, or otherwise prepare an item for sale.
Minor cleaning, conditioning, and commercially reasonable repairs may be performed without advance approval.
Saconde may seek Seller approval before material restoration or unusually expensive work, but is not required to do so where work is reasonably necessary to:
Reasonable costs may be deducted from Seller’s proceeds where disclosed in these Terms, a Consignment Confirmation, or a transaction record.
Saconde is not liable for ordinary or unavoidable changes resulting from authorized cleaning, photography, handling, inspection, authentication, repair, or conditioning, except to the extent caused by Saconde’s gross negligence, willful misconduct, or other liability that cannot legally be waived.
Unless Saconde agrees otherwise in a written Consignment Confirmation, the following commission schedule applies to each item:

The applicable commission tier is determined separately for each item based on that item’s Final Sale Price, unless Saconde expressly agrees to a different method.
For bundled or grouped sales, Saconde may allocate the total sales price among included items using a commercially reasonable method based on factors such as:
Seller’s payout may be reduced by:
Saconde will not deduct undisclosed optional fees in violation of applicable law.
An item may be treated as sold for operational purposes when Saconde accepts a buyer’s order or offer. Seller’s payout does not become finally earned or payable until Saconde determines that:
A transaction may be reversed after an initial sale record if:
Title to a Consigned Item transfers to the buyer when Saconde determines that the applicable sale is completed under the governing buyer, marketplace, and payment terms.
Upon final completion:
Seller authorizes Saconde to transfer good title to a buyer to the maximum extent Seller has authority to do so.
Saconde controls the administration of:
Saconde may accept a return or provide a refund where:
If an item is returned, Saconde may:
If Seller was paid before a transaction was reversed, Seller must repay the overpayment upon demand. Saconde may deduct it from current or future payouts or other amounts owed to Seller where permitted by law.
Payouts may be issued only after the sale becomes final under Section 17.
Saconde may select the payout method, which may include:
Not every payout method is available for every Seller or transaction.
Saconde may consider:
Seller is responsible for accurate payout information. Saconde is not responsible for funds sent to an incorrect account because Seller supplied inaccurate, outdated, or unauthorized instructions, except where liability cannot legally be excluded.
Financial institutions and payment providers may delay, reject, freeze, investigate, reverse, or limit transactions independently of Saconde.
Saconde may delay, withhold, reserve, reduce, or offset payment while investigating or resolving:
Any hold will be maintained only for a commercially reasonable period or the period required by the relevant investigation, legal process, platform, payment provider, or dispute.
Seller may request return of an unsold item by contacting Saconde in writing.
A return request does not immediately terminate Saconde’s authority and is subject to:
Unless otherwise agreed, the following standard charges may apply:
Saconde may update prospective fees by posting or presenting revised terms before a new consignment is accepted. Material fee changes do not apply retroactively to an already accepted consignment unless agreed or legally permitted.
Saconde may deny or defer a withdrawal request if:
If Saconde voluntarily allows withdrawal after an active sales process begins, Seller remains responsible for applicable:
If an item is rejected or returned:
Risk of loss for a returned item transfers to Seller when the item is delivered to the return address, collected by Seller or Seller’s representative, or as otherwise provided by applicable carrier and shipping terms.
If delivery fails because Seller supplied inaccurate information, refused delivery, or failed to retrieve the item, Seller is responsible for additional shipping, storage, insurance, and handling expenses.
An item may be treated as unclaimed if:
Before treating property as abandoned, Saconde will provide notice using available contact information and a reasonable opportunity to respond, subject to applicable law.
If Seller fails to respond or arrange return within the period stated in the notice, Saconde may, to the extent permitted by law:
No provision authorizes disposal contrary to applicable unclaimed-property, lien, consignment, consumer-protection, or other non-waivable law.
Saconde accepts responsibility for risk of loss or material damage only when:
Seller bears the risk before Approved Transit.
Saconde is not responsible for losses caused by:
Before shipping, Seller must:
For high-value or disputed shipments, Saconde may require a continuous, unedited video showing:
Saconde may request original files, timestamps, metadata, receipts, and carrier records.
Failure to provide reasonably requested evidence may prevent Saconde or a carrier from validating a claim.
A claim involving loss, theft, shortage, tampering, misdelivery, or material damage must be reported in writing within fifteen days after delivery confirmation or within fifteen days after Seller reasonably should have discovered the issue, whichever occurs first, unless a longer period is required by law.
Claims must include available:
If Saconde accepts responsibility, Saconde may elect to:
Compensation excludes sentimental value, speculative appreciation, indirect damages, and lost opportunities to the extent permitted by law.
Certain consignments involving commercial inventory may be governed by Article 9 of the Uniform Commercial Code.
Seller represents that Seller has disclosed whether:
To protect the parties’ interests, Seller authorizes Saconde, where Saconde reasonably determines it appropriate, to:
Seller agrees to sign additional documents reasonably requested for these purposes.
This authorization does not transfer beneficial ownership of an unsold item to Saconde except as otherwise provided by law or these Terms.
Seller grants Saconde a worldwide, royalty-free, transferable, sublicensable license to use Submitted Content for:
The license includes the right to:
Seller represents that Seller has the rights and permissions needed to provide Submitted Content.
Saconde owns photographs, videos, descriptions, edits, listings, graphics, and other materials created by or for Saconde, excluding Seller’s underlying ownership rights in Seller-provided content.
Saconde may retain transaction, item, authentication, fraud-prevention, and listing records after an item is sold, rejected, returned, or withdrawn.
Saconde may collect and process information for:
Device-based Face ID, Touch ID, fingerprint, or similar login is controlled by the device operating system. Saconde ordinarily receives only a success or failure response and not the device’s biometric template.
Separate identity-verification services may involve ID review, selfies, facial comparison, liveness detection, or related processes where permitted by law and subject to required notices and consents.
Additional information appears in Saconde’s Privacy Policy, Identity Verification and Fraud Prevention Notice, Biometric Notice and Consent, and Biometric Retention and Destruction Policy.
Seller consents to transactional and service-related communications concerning:
Communications may be sent by email, telephone, SMS, app notification, push notification, messaging platform, or another channel provided by Seller.
Marketing messages are subject to separate consent where required. Consent to marketing texts is not a condition of consignment.
Seller is responsible for determining and satisfying Seller’s tax obligations.
Saconde may request a taxpayer identification number, Form W-9, or other documentation and may delay payment until required information is received.
Saconde or a payment provider may issue Form 1099 or another tax report where required.
Saconde may apply backup withholding or other legally required withholding.
Nothing provided by Saconde constitutes tax advice.
Saconde may screen Seller, items, addresses, transactions, payout instructions, and related parties for:
Saconde may delay, reject, cancel, suspend, investigate, freeze, report, or place a legal hold on a transaction or account when reasonably necessary.
Saconde may cooperate with law enforcement, courts, regulators, payment providers, marketplaces, brands, rights holders, insurers, and authenticators.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SACONDE’S CONSIGNMENT, AUTHENTICATION, MARKETING, LISTING, STORAGE, PAYMENT, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
SACONDE DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RESULTS, TO THE EXTENT SUCH WARRANTIES MAY LEGALLY BE DISCLAIMED.
SACONDE DOES NOT WARRANT THAT:
These disclaimers do not limit rights that cannot lawfully be waived.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SACONDE AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST OPPORTUNITIES, SENTIMENTAL VALUE, OR SPECULATIVE APPRECIATION.
EXCEPT FOR LIABILITY THAT CANNOT LEGALLY BE LIMITED, SACONDE’S AGGREGATE LIABILITY ARISING FROM A PARTICULAR ITEM WILL NOT EXCEED THE GREATER OF:
The limitation does not apply to the extent a court or arbitrator determines that liability arose from Saconde’s fraud, willful misconduct, gross negligence, or another basis that cannot lawfully be limited.
To the maximum extent permitted by law, Seller will defend, indemnify, and hold harmless Saconde and its owners, officers, managers, employees, affiliates, contractors, agents, successors, and assigns from claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from:
Saconde may control the defense of a covered claim, and Seller may not settle a claim imposing liability or obligations on Saconde without Saconde’s written consent.
This section does not require indemnification for Saconde’s own liability to the extent such indemnification is prohibited by law.
Saconde may suspend or terminate Seller’s account or participation for:
Termination does not cancel:
Saconde may update these Consignment Terms prospectively.
The version accepted for a particular Consigned Item generally governs that item unless:
Material changes to commission rates, deductions, arbitration, ownership, or withdrawal rights will not be applied retroactively to an accepted item without legally sufficient notice and assent where required.
These Consignment Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provision to the extent applicable.
Mandatory protections of another jurisdiction apply to the extent they cannot legally be waived.
Before commencing arbitration, the complaining party must send a written Notice of Dispute containing:

The parties will attempt in good faith to resolve the dispute for at least thirty days after receipt of a complete Notice of Dispute.
A party may seek temporary emergency relief where necessary to prevent immediate and irreparable harm.
Except for claims expressly excluded below, every dispute, claim, or controversy arising out of or relating to:
shall be resolved by binding arbitration on an individual basis.
The arbitration will be administered by the American Arbitration Association under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules, depending on the nature of the transaction and the parties, unless the parties agree to another administrator.
The arbitration may occur by documents, telephone, video conference, or in person as permitted by the applicable rules.
Unless required otherwise by law or the applicable arbitration rules, the arbitration location will be New York County, New York.
The arbitrator may award any individual relief available in court, but may not award relief for persons who are not parties to the arbitration.
Either party may:
Any court proceeding must be brought in a court of competent jurisdiction, subject to mandatory law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLER AND SACONDE AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.
THE PARTIES WAIVE THE RIGHT TO:
The arbitrator may not consolidate claims or preside over a representative proceeding without the written consent of all affected parties.
Questions concerning the existence, validity, scope, or enforceability of the arbitration agreement are for the arbitrator, except that a court will decide any issue that governing law requires a court to decide.
If the class or representative waiver is finally held unenforceable as to a particular claim or remedy, that claim or remedy will proceed in court only to the extent required, and the remaining arbitrable claims will remain in arbitration unless applicable law requires otherwise.
FOR ANY DISPUTE THAT PROCEEDS IN COURT, SELLER AND SACONDE KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
If any provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective.
Seller may not assign these Consignment Terms or rights relating to an item without Saconde’s written consent.
Saconde may assign these Terms or related rights in connection with a merger, financing, reorganization, sale of assets, affiliate transaction, or transfer of the applicable business, subject to applicable law.
A failure or delay in enforcing a provision is not a waiver.
A waiver must be in a written record authorized by the party granting it.
These Consignment Terms, the applicable Consignment Confirmation, Saconde’s General Seller Terms or Seller Terms and Conditions, and incorporated policies constitute the agreement governing the consignment.
Seller acknowledges that Seller has not relied on a promise or guarantee not included in the governing written records.
