1. INTRODUCTION AND ACCEPTANCE OF TERMS

4. PRODUCT LISTINGS, DESCRIPTIONS, PHOTOGRAPHS, AND MEASUREMENTS

Saconde endeavors to provide accurate product descriptions, photographs, measurements, condition information, and other listing details. However, because many products are pre-owned, vintage, unique, or one-of-a-kind, reasonable variations and minor inaccuracies may occur.

You acknowledge that:

Minor errors, omissions, photographic differences, subjective condition assessments, or characteristics reasonably consistent with the disclosed age and pre-owned nature of an item shall not, by themselves, constitute a material misdescription, except where otherwise required by applicable law.

5. PRODUCT AVAILABILITY

Many products offered by Saconde are unique, one-of-a-kind, limited in quantity, or simultaneously offered through multiple sales channels.

Placing an item in a shopping cart, wishlist, saved-items list, checkout session, or similar feature does not reserve the item or guarantee its availability.

An item may become unavailable before checkout is completed or before Saconde accepts an order.

Saconde does not guarantee the availability of any particular item and may discontinue, withdraw, remove, or modify a listing at any time, subject to applicable law.

6. ORDERS AND ORDER ACCEPTANCE

Submitting an order constitutes an offer by you to purchase the applicable item or items under these Terms.

An automated order confirmation, payment authorization, invoice, email, app notification, text message, or other communication acknowledging receipt of an order does not necessarily constitute final acceptance of the order.

To the fullest extent permitted by law, Saconde is not responsible for delays, interruptions, errors, holds, account restrictions, financing decisions, or other acts or omissions independently caused by third-party payment processors, banks, card networks, financing providers, or financial institutions.

Nothing in this Section limits Saconde's responsibility for its own acts or omissions where liability cannot lawfully be excluded.

11. PAYMENT VERIFICATION, IDENTITY VERIFICATION, AND FRAUD PREVENTION

Because Saconde sells high-value luxury merchandise, we may take reasonable measures to verify transactions and prevent fraud, theft, unauthorized purchases, chargebacks, money laundering, sanctions violations, account takeover, and other unlawful or suspicious activity.

UNLESS OTHERWISE EXPRESSLY STATED BY SACONDE IN WRITING OR REQUIRED BY APPLICABLE LAW, ALL SALES ARE FINAL.

Nothing in these Terms excludes, restricts, disclaims, or waives any consumer right, warranty, remedy, or protection that cannot legally be excluded, restricted, disclaimed, or waived.

14. AUTHENTICATION OF PRODUCTS

15. AUTHENTICATION TAGS AND SECURITY DEVICES

Saconde may attach an authentication tag, security tag, tamper-evident device, seal, sticker, label, or other identification mechanism to an item.

If an item includes such a device, you should inspect the item before removing, cutting, altering, detaching, damaging, or tampering with it.

16. AUTHENTICITY CLAIMS

If you believe an item purchased from Saconde may be inauthentic, you should contact Saconde as soon as reasonably possible after discovering the issue.

17. CONDITION OF PRE-OWNED, VINTAGE, AND UNIQUE GOODS

Many products sold by Saconde are pre-owned, vintage, previously handled, consigned, or otherwise not factory-new.

18. WARRANTIES AND "AS IS" SALES

To the fullest extent permitted by applicable law, products are sold on an “AS IS,” “WHERE IS,” AND “AS AVAILABLE” basis, with all faults consistent with the product's disclosed condition, age, and pre-owned or vintage nature.

To the fullest extent permitted by law, Saconde disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement, except to the extent such warranties cannot legally be disclaimed or except as expressly provided in writing by Saconde.

No employee, contractor, representative, agent, salesperson, customer-service representative, social-media representative, or other person may create a warranty or guarantee on behalf of Saconde unless expressly authorized and provided in writing.

Nothing in this Section excludes any warranty or consumer protection that cannot lawfully be disclaimed.

19. SHIPPING METHODS AND DELIVERY

Saconde may offer shipping through carriers and delivery providers selected by Saconde or made available to the Buyer.

Shipping options, rates, estimated delivery times, insurance, and signature requirements may vary based on:

Saconde is not responsible for delays caused by carriers, weather, natural disasters, customs, government action, labor disruptions, security inspections, inaccurate addresses, failed delivery attempts, force majeure events, or other circumstances beyond Saconde's reasonable control, except where applicable law provides otherwise.

20. HIGH-VALUE SHIPMENTS AND DELIVERY SECURITY

For orders delivered directly to a consumer by a carrier selected or arranged by Saconde, Saconde will not treat risk of loss as having transferred earlier than permitted by applicable law.

23. LOST, STOLEN, DELAYED, MISDELIVERED, OR DAMAGED PACKAGES

If you believe a shipment is lost, stolen, misdelivered, or damaged, you must notify Saconde as soon as reasonably possible.

Nothing in this Section limits legally protected claims or rights.

24. IN-STORE AND IN-PERSON PURCHASES

For purchases completed at a Saconde store, showroom, office, event, pop-up location, or other in-person location:

Saconde does not guarantee that any product may legally be imported into a particular country. The Buyer is responsible for complying with applicable import laws, except where applicable law places that responsibility on Saconde.

If a shipment is refused, abandoned, rejected by customs, returned because charges were unpaid, or otherwise undeliverable due to circumstances attributable to the Buyer, Saconde may, to the fullest extent permitted by law, deduct actual shipping, customs, brokerage, return, storage, insurance, and related costs from any refund otherwise due.

27. ORDER CANCELLATIONS

Orders may not be canceled after acceptance except:

Promotions, discount codes, coupons, referral benefits, promotional credits, and special offers may be subject to additional terms.

29. GIFT CARDS AND STORE CREDIT

Gift cards, purchased store credit, promotional credit, refunds issued as store credit, and other credits may be subject to separate terms and applicable law.

Purchased gift cards and promotional credits may have different expiration, transferability, refund, redemption, and cash-value rules.

Nothing in these Terms limits rights applicable to gift cards or store credit under New York law, California law, or other applicable state or federal law.

30. CHARGEBACKS AND PAYMENT DISPUTES

If you believe a charge is unauthorized, incorrect, or otherwise disputed, you are encouraged to contact Saconde promptly so we have an opportunity to investigate and address the matter.

Nothing in these Terms prohibits you from exercising any lawful right to dispute a charge with your card issuer, bank, payment provider, or other financial institution.

However, you must not knowingly:

Purchases initiated or completed through Saconde's website or applications are governed by these Buyer Terms regardless of the device or operating system used.

The availability of features, payment methods, inventory, promotions, and functionality may vary by platform, device, operating system, location, or app version.

Unless expressly stated otherwise, purchases of physical merchandise through the Saconde app are transactions directly between the Buyer and Saconde. An app-store operator or device manufacturer is not the seller of the physical merchandise merely because the Saconde app was downloaded through its platform.

Separate app-platform terms may apply to downloading or using the Saconde application.

33. THIRD-PARTY MARKETPLACES AND SALES CHANNELS

Saconde may offer products through third-party marketplaces, social-commerce platforms, live-shopping services, payment providers, or other external sales channels.

Purchases through those channels may also be subject to the third party's applicable terms and mandatory policies.

If there is a conflict between these Buyer Terms and a mandatory third-party marketplace rule governing a transaction conducted through that marketplace, the mandatory marketplace rule may control to the extent required by the marketplace agreement or applicable law.

Saconde is not responsible for the independent acts, omissions, outages, policies, or services of unaffiliated third parties except to the extent required by law.

34. PRIVACY AND PERSONAL INFORMATION

Saconde's collection, use, disclosure, retention, and protection of personal information is governed by its Privacy Policy and applicable law.

Depending on the Services used, additional notices or consents may apply, including notices relating to:

These Buyer Terms do not replace any separate notice or consent required by applicable privacy or biometric law.

35. ELECTRONIC COMMUNICATIONS AND TRANSACTIONAL NOTICES

By using the Services or completing a purchase, you consent to receive electronic communications relating to your transactions and use of the Services, including:

Transactional communications are distinct from marketing communications and may be sent where necessary to provide Services, complete transactions, protect accounts, or comply with law.

Marketing communications are subject to separate consent requirements where applicable.

36. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SACONDE AND ITS AFFILIATES, OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR USE, ARISING FROM OR RELATING TO A PURCHASE, PRODUCT, DELIVERY, OR THESE TERMS.

TO THE FULLEST EXTENT PERMITTED BY LAW, SACONDE'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PARTICULAR PRODUCT OR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO SACONDE FOR THE PRODUCT GIVING RISE TO THE CLAIM.

These limitations do not apply to the extent prohibited by applicable law and do not exclude liability that cannot legally be excluded or limited.

Some jurisdictions do not allow certain exclusions or limitations of damages, so some provisions of this Section may not apply to you.

37. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Saconde and its affiliates, owners, members, managers, officers, directors, employees, agents, contractors, licensors, and service providers from and against third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising from or relating to:

This Section does not require a consumer to indemnify Saconde for Saconde's own negligence, willful misconduct, violation of law, or other liability that cannot legally be shifted to the consumer.

38. FORCE MAJEURE

To the fullest extent permitted by law, Saconde shall not be liable for delay or failure to perform caused by circumstances beyond its reasonable control, including:

The parties shall attempt in good faith to resolve the dispute informally for at least thirty (30) days after receipt of sufficient notice before initiating arbitration, except where immediate relief is necessary or applicable law provides otherwise.

Any applicable statute of limitations shall be tolled during this mandatory informal-resolution period to the extent required by applicable law.

40. BINDING INDIVIDUAL ARBITRATION AGREEMENT

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO A JURY TRIAL AND YOUR ABILITY TO PARTICIPATE IN A CLASS ACTION.

Except for disputes expressly excluded below or where prohibited by law, any dispute, claim, or controversy arising out of or relating to:

The arbitration agreement shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1–16, to the fullest extent applicable.

Unless the parties agree otherwise, arbitration shall be administered by the American Arbitration Association (“AAA”) under the applicable AAA Consumer Arbitration Rules, as modified by these Terms.

The arbitrator shall have authority to resolve disputes concerning the interpretation, applicability, enforceability, formation, or scope of this arbitration agreement, except that a court of competent jurisdiction shall decide any dispute concerning the enforceability of the class-action waiver or representative-action waiver.

The arbitrator may award any individual relief that would be available in court, subject to applicable law and these Terms.

Judgment on an arbitration award may be entered in any court having jurisdiction.

41. EXCEPTIONS TO ARBITRATION

Notwithstanding Section 40, either party may:

TO THE FULLEST EXTENT PERMITTED BY LAW, FOR ANY DISPUTE THAT PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND SACONDE EACH KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY.

43. CLASS ACTION AND REPRESENTATIVE ACTION WAIVER

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND SACONDE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, OR REPRESENTATIVE PROCEEDING.

Unless both parties expressly agree in writing, an arbitrator may not consolidate the claims of more than one person or preside over any class, collective, coordinated, consolidated, or representative proceeding.

If a final judicial determination finds that applicable law prohibits enforcement of this waiver with respect to a particular claim or request for relief, only that claim or request for relief shall proceed in court, and all arbitrable claims shall be arbitrated to the fullest extent permitted by law.

44. ARBITRATION FEES AND LOCATION

Payment of arbitration filing, administrative, and arbitrator fees shall be governed by the applicable AAA rules and applicable law.

Opting out of arbitration will not affect the validity of any other provision of these Terms or your ability to use Saconde's Services.

46. GOVERNING LAW

Except as otherwise required by applicable law or governed by the Federal Arbitration Act, these Terms and any dispute arising from them shall be governed by the laws of the State of New York, without regard to conflict-of-laws principles.

Nothing in this choice-of-law provision deprives a consumer of mandatory protections afforded by the law of the consumer's jurisdiction where those protections cannot lawfully be waived.

47. VENUE FOR NON-ARBITRABLE DISPUTES

For disputes not subject to arbitration and not eligible for small claims court, the parties agree to the exclusive jurisdiction of the state and federal courts located in New York County, New York, except where applicable law prohibits such a venue requirement.

48. SEVERABILITY

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed as necessary, and the remaining provisions shall remain in full force and effect, except as otherwise expressly provided in the arbitration provisions.

49. NO WAIVER

Saconde's failure or delay in exercising any right or enforcing any provision of these Terms does not constitute a waiver of that right or provision.

A waiver is effective only if made in writing by an authorized representative of Saconde.

50. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without Saconde's prior written consent.

Saconde may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, transfer of business operations, or other lawful transaction, subject to applicable law.

51. ENTIRE AGREEMENT AND ORDER OF PRECEDENCE

These Buyer Terms, together with any applicable:

constitute the applicable agreement between you and Saconde concerning your purchase.

In the event of a conflict:

  1. transaction-specific terms expressly agreed to in writing shall control for that transaction;
  2. mandatory law shall control where applicable;
  3. mandatory third-party marketplace rules shall control where required for transactions made through that marketplace;
  4. these Buyer Terms shall control matters specifically concerning product purchases and sales; and
  5. the general Terms of Use shall control general access to and use of the website, app, account, and platform.

52. CHANGES TO THESE TERMS

Saconde may update these Terms from time to time.

Changes will become effective on the date stated in the revised Terms or as otherwise required by law.

Unless otherwise permitted by law, material changes will apply prospectively and will not retroactively alter the contractual terms governing a completed transaction.

Your continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by law.

The version in effect at the time of an accepted purchase will generally govern that purchase unless applicable law requires otherwise.
