1. INTRODUCTION AND SCOPE

These Gift Card & Store Credit Terms (“Gift Card Terms”) govern the purchase, issuance, receipt, possession, use, redemption, replacement, refund, transfer, cancellation, expiration, and other treatment of gift cards, electronic gift cards, gift certificates, merchandise credits, refund credits, promotional credits, courtesy credits, account credits, and other stored-value instruments or balances issued, honored, or administered by Saconde & Saconde, LLC (“Saconde,” “Company,” “we,” “us,” or “our”).

These Gift Card Terms apply to gift cards and store credits offered, purchased, issued, received, or redeemed through or in connection with:

(a) the Saconde website, including Saconde.com;

(b) the Saconde mobile application, including any iOS, Android, or other mobile application;

(c) any Saconde desktop application or other digital platform;

(d) any physical Saconde retail store, showroom, office, event, or other authorized location;

(e) telephone, email, SMS, social media, or other authorized sales channels;

(f) third-party platforms or authorized distributors through which Saconde may lawfully offer gift cards or credits; and

(g) any other Saconde service, platform, marketplace, or sales channel that references these Gift Card Terms.

By purchasing, accepting, receiving, possessing, using, or redeeming a Saconde Gift Card or Store Credit, you agree to these Gift Card Terms, subject to all non-waivable rights and protections provided by applicable federal, state, and local law.

These Gift Card Terms should be read together with Saconde’s applicable Terms and Conditions, Terms of Use, Buyer Terms or Terms of Sale, Return Policy, Privacy Policy, and any other applicable agreement or disclosure.

If these Gift Card Terms conflict with a mandatory provision of applicable law, the mandatory provision of law controls to the extent of the conflict.

2. IMPORTANT DISTINCTION BETWEEN GIFT CARDS AND STORE CREDITS

For purposes of these Gift Card Terms, Saconde distinguishes between Purchased Gift Cards and other forms of Store Credit because different legal requirements may apply depending on how and why the value was issued.

2.1 Purchased Gift Cards

“Purchased Gift Card” means a physical or electronic gift card, gift certificate, stored-value instrument, or similar device that is purchased for money or other valuable consideration and is redeemable for eligible goods or services offered by Saconde.

Purchased Gift Cards may include:

(a) physical gift cards;

(b) electronic or digital gift cards;

(c) gift certificates;

(d) gift card codes;

(e) gift card balances maintained in a Saconde account; and

(f) other stored-value products purchased for consideration and redeemable with Saconde.

2.2 Store Credit

“Store Credit” means value issued by Saconde that is not necessarily a Purchased Gift Card and may include:

(a) merchandise return credit;

(b) refund credit;

(c) exchange credit;

(d) courtesy credit;

(e) goodwill credit;

(f) promotional credit;

(g) bonus credit;

(h) referral credit;

(i) loyalty or rewards credit;

(j) marketing credit;

(k) compensation or adjustment credit;

(l) credit issued without monetary consideration; or

(m) any other account-based or stored value issued by Saconde.

The legal treatment of Store Credit may differ from the treatment of Purchased Gift Cards depending on the reason for issuance, whether monetary consideration was paid, applicable law, and the terms disclosed when the Store Credit was issued.

2.3 Promotional Value

“Promotional Value” means any credit, certificate, reward, bonus, discount, coupon, or other value provided without monetary consideration, including value issued in connection with a promotion, giveaway, loyalty program, referral program, marketing campaign, contest, sweepstakes, customer-service accommodation, or similar program.

Promotional Value may be subject to separate conditions, eligibility requirements, restrictions, exclusions, and expiration dates to the fullest extent permitted by applicable law.

3. PURCHASED GIFT CARDS DO NOT EXPIRE

Unless applicable law provides greater rights, the monetary value of a Saconde Purchased Gift Card does not expire.

Saconde does not impose dormancy fees, inactivity fees, maintenance fees, or periodic service fees merely because a Purchased Gift Card has not been used.

If a physical card, digital credential, account, redemption code, or other access device has a technical expiration date, becomes obsolete, or is replaced, the underlying monetary value will remain available as required by applicable law and may be transferred to a replacement card, code, account, or other access mechanism where appropriate.

Nothing in these Gift Card Terms limits any longer validity period or additional protection required by federal, state, or local law.

4. STORE CREDIT EXPIRATION AND CONDITIONS

Store Credit that is not a Purchased Gift Card may be subject to expiration dates, redemption restrictions, product exclusions, account requirements, non-transferability provisions, or other conditions disclosed at the time of issuance, to the extent permitted by applicable law.

Where applicable law prohibits expiration of a particular Store Credit, the Store Credit will not expire notwithstanding any contrary stated expiration date.

Where applicable law requires a minimum validity period, the Store Credit will remain valid for at least that required period.

Where a Store Credit consists of both paid value and promotional value, Saconde may separately track and administer each component in accordance with applicable law.

Unless otherwise required by law, Promotional Value may expire on the date stated in the applicable promotion, offer, communication, account, certificate, or other disclosure.

5. WHERE GIFT CARDS AND STORE CREDITS MAY BE USED

Unless otherwise stated at issuance, eligible Saconde Gift Cards and Store Credits may be redeemed for eligible purchases through participating Saconde sales channels, which may include:

(a) Saconde.com;

(b) the Saconde mobile app;

(c) participating physical Saconde retail locations; and

(d) other Saconde-operated sales channels designated by Saconde.

Certain Gift Cards or Store Credits may be restricted to particular channels, accounts, locations, countries, currencies, products, services, promotions, or transactions where disclosed at issuance or required by operational, legal, or technical limitations.

Availability across one Saconde sales channel does not necessarily guarantee immediate technical availability through every other channel.

If a Gift Card or Store Credit cannot be used through a particular channel because of a technical limitation, Saconde may provide an alternative lawful redemption method where reasonably available and required by applicable law.

6. ELIGIBLE AND INELIGIBLE PURCHASES

Unless otherwise stated or prohibited by law, Gift Cards and Store Credits may be used toward eligible merchandise and services offered directly by Saconde.

Gift Cards and Store Credits may not be used to:

(a) purchase another gift card, gift certificate, or other stored-value product, unless expressly permitted by Saconde;

(b) purchase cash or cash equivalents;

(c) obtain unauthorized cash advances;

(d) pay amounts owed to third parties;

(e) purchase items prohibited by law;

(f) engage in money transmission or other regulated financial activity;

(g) circumvent purchase limits, fraud controls, sanctions requirements, or legal restrictions;

(h) facilitate resale, arbitrage, money laundering, fraud, or other unlawful conduct; or

(i) complete any transaction that Saconde reasonably determines is prohibited by law or these Gift Card Terms.

Gift Cards and Store Credits may not be applied retroactively to previously completed transactions unless Saconde expressly agrees or applicable law requires otherwise.

7. PARTIAL REDEMPTION AND REMAINING BALANCES

If the value of a Gift Card or eligible Store Credit exceeds the purchase amount, the remaining balance will generally remain available for future eligible purchases, subject to these Gift Card Terms and applicable law.

If the purchase amount exceeds the available balance, the customer may be required to pay the difference using another payment method accepted by Saconde.

Saconde may permit or restrict the use of multiple Gift Cards, Store Credits, promotional codes, discounts, or other payment methods in a single transaction, subject to applicable law and any disclosed transaction limits.

8. CASH REDEMPTION AND STATE-SPECIFIC RIGHTS

Except where required by applicable law, Gift Cards and Store Credits are not redeemable or refundable for cash, check, bank transfer, ACH payment, wire transfer, credit to a payment card, or other cash equivalent.

However, Saconde will honor any cash-redemption, cash-out, refund, replacement, or similar right required by applicable federal, state, or local law.

Certain jurisdictions require merchants to redeem qualifying gift cards or gift certificates for cash when the remaining balance falls at or below a specified amount or when other statutory conditions are satisfied. The applicable threshold, eligibility requirements, exclusions, procedures, and methods of payment may vary by jurisdiction and may change over time.

Where required by applicable law, Saconde will provide cash redemption of an eligible balance in accordance with the law applicable to the transaction and customer.

A customer requesting legally required cash redemption may be asked to provide reasonable information necessary to:

(a) verify the Gift Card or Store Credit;

(b) confirm the available balance;

(c) establish eligibility for cash redemption;

(d) prevent fraud, theft, duplication, or unauthorized use;

(e) identify the applicable jurisdiction; and

(f) comply with applicable law.

Nothing in these Gift Card Terms waives or restricts any non-waivable cash-redemption right provided by applicable law.

9. CALIFORNIA CUSTOMERS

For transactions subject to California law, Saconde will provide any cash-redemption rights required by the California Civil Code or other applicable California law, as amended from time to time.

As of the effective date of these Gift Card Terms, qualifying gift certificates with a cash value of fifteen dollars ($15.00) or less are generally redeemable in cash as provided by applicable California law, subject to statutory definitions, exceptions, and conditions.

Saconde will also comply with applicable California requirements concerning electronic gift cards, expiration dates, fees, disclosures, notices, and redemption rights.

If California law is amended to provide greater consumer rights, Saconde will apply the legally required rights regardless of whether these Gift Card Terms have yet been formally updated.

10. OTHER STATE AND LOCAL LAW PROTECTIONS

Gift-card and stored-value laws vary among the fifty U.S. states and may also vary by territory or locality.

Depending on the applicable jurisdiction, customers may have additional rights relating to:

(a) expiration dates;

(b) dormancy or inactivity fees;

(c) cash redemption of small balances;

(d) refunds;

(e) replacement of lost or stolen cards;

(f) disclosures;

(g) unclaimed property;

(h) abandoned property;

(i) escheatment;

(j) treatment of promotional value;

(k) treatment of merchandise return credits; or

(l) other consumer protections.

Saconde will comply with all applicable non-waivable federal, state, and local requirements.

If the law applicable to a customer or transaction provides greater protection than these Gift Card Terms, the greater legally required protection will apply.

11. NEW YORK CUSTOMERS

For Gift Cards and Store Credits governed by New York law, Saconde will comply with applicable New York requirements concerning expiration dates, fees, disclosures, cash redemption where required, abandoned property, unclaimed funds, and other consumer protections.

Nothing in these Gift Card Terms limits any non-waivable rights available under New York law.

Any required notices or disclosures concerning Gift Cards offered or sold at a Saconde physical retail location in New York will be provided as required by applicable law.

12. NO FEES FOR PURCHASED GIFT CARDS

Saconde does not charge dormancy, inactivity, maintenance, or periodic service fees against the underlying monetary balance of a Purchased Gift Card merely because the Gift Card has not been used.

Saconde may, where permitted by law, charge separately disclosed fees for optional services, expedited delivery, replacement of certain physical cards, customization, or other services unrelated to inactivity or the passage of time.

No fee will be imposed where prohibited by applicable law.

13. LOST, STOLEN, DESTROYED, OR COMPROMISED GIFT CARDS

Gift Cards and Store Credits should be treated like cash.

Except where required by law, Saconde is not responsible for any Gift Card or Store Credit that is lost, stolen, destroyed, misplaced, compromised, intercepted, disclosed to an unauthorized person, or used without authorization.

Saconde may, but is not obligated to, replace a lost, stolen, destroyed, or compromised Gift Card or Store Credit if the claimant provides information reasonably sufficient to verify:

(a) the original purchase or issuance;

(b) the Gift Card number or redemption code;

(c) the original purchaser or recipient;

(d) the remaining balance;

(e) that the claimant is entitled to the value; and

(f) any other information reasonably necessary to prevent fraud or duplicate recovery.

Proof of purchase may be required.

If Saconde replaces a Gift Card or Store Credit, the original card, code, or balance may be canceled or deactivated.

Saconde is not responsible for value redeemed before the reported loss, theft, compromise, or unauthorized use, except where applicable law requires otherwise.

14. DIGITAL DELIVERY

Electronic Gift Cards may be delivered by email, SMS, app notification, account credit, electronic message, or another digital method.

The purchaser is responsible for providing accurate recipient and delivery information.

Saconde is not responsible for delayed or failed delivery caused by:

(a) an incorrect email address or telephone number;

(b) spam or junk-mail filters;

(c) recipient blocking settings;

(d) telecommunications or internet failures;

(e) third-party service interruptions;

(f) device incompatibility; or

(g) circumstances outside Saconde’s reasonable control.

Where reasonably possible, Saconde may assist with resending an undelivered electronic Gift Card after verification.

15. ACCOUNT-BASED STORE CREDIT

Certain Store Credits may be linked to a specific Saconde account, email address, telephone number, customer profile, or other identifier.

Account-based Store Credit may be non-transferable unless otherwise stated or required by law.

Customers are responsible for maintaining the confidentiality and security of their Saconde accounts and login credentials.

Saconde may require account authentication or other reasonable verification before allowing use, transfer, replacement, refund, or cash redemption of account-based value.

16. RETURNS, REFUNDS, AND PURCHASES MADE WITH GIFT CARDS

Purchases made using a Gift Card or Store Credit remain subject to Saconde’s applicable Return Policy, Terms of Sale, Buyer Terms, product-specific conditions, final-sale restrictions, and applicable law.

If Saconde approves a refund for a purchase made wholly or partially using a Gift Card or Store Credit, the refund may be returned to:

(a) the original Gift Card;

(b) a replacement Gift Card;

(c) the customer's Saconde account;

(d) a new Store Credit;

(e) the original payment method, where appropriate; or

(f) another method required by applicable law.

Where a purchase was made using multiple payment methods, Saconde may allocate any approved refund among those payment methods in a reasonable manner, subject to applicable law.

Nothing in this section limits any statutory refund right.

17. PROMOTIONAL AND COURTESY CREDITS

Promotional, bonus, referral, loyalty, courtesy, goodwill, or other gratuitously issued credits may be subject to separate terms, including:

(a) expiration dates;

(b) minimum purchase requirements;

(c) product or category exclusions;

(d) geographic restrictions;

(e) customer eligibility requirements;

(f) single-use limitations;

(g) account restrictions;

(h) non-transferability;

(i) limits on combining promotions; and

(j) other disclosed conditions.

Unless prohibited by applicable law, Promotional Value is not redeemable for cash and may expire according to the terms disclosed at issuance.

If Promotional Value is issued together with purchased monetary value, Saconde may separately identify, track, and administer the purchased and promotional components.

18. RETURN AND MERCHANDISE CREDITS

Where Saconde issues Store Credit in connection with a return, exchange, cancellation, customer-service adjustment, or merchandise transaction, the credit will be governed by:

(a) the terms disclosed when the credit is issued;

(b) the applicable Return Policy or Terms of Sale;

(c) these Gift Card Terms; and

(d) applicable law.

A return credit will not be treated as Promotional Value merely because it was not purchased as a standalone gift card if applicable law requires the credit to receive greater protections.

Saconde will not impose an expiration date or other restriction on return or merchandise credit where prohibited by applicable law.

19. FRAUD, ABUSE, ERRORS, AND UNAUTHORIZED ACTIVITY

Saconde may refuse, suspend, delay, restrict, cancel, freeze, or investigate a Gift Card, Store Credit, redemption, transfer, refund, or related transaction where Saconde reasonably suspects:

(a) fraud;

(b) theft;

(c) unauthorized use;

(d) payment fraud or chargeback activity;

(e) counterfeit or altered Gift Cards;

(f) duplicate redemption;

(g) technical manipulation;

(h) account takeover;

(i) use of stolen payment credentials;

(j) money laundering or other financial crime;

(k) sanctions violations;

(l) violation of applicable law;

(m) violation of these Gift Card Terms; or

(n) other abusive, deceptive, or unlawful conduct.

Any such action will be subject to applicable law and will not eliminate a customer's non-waivable statutory rights.

Saconde may correct balances affected by clerical, technical, accounting, or system errors, provided that any correction is made consistently with applicable law.

20. CHARGEBACKS AND PAYMENT REVERSALS

If payment used to purchase or fund a Gift Card is declined, reversed, refunded, disputed, charged back, determined to be fraudulent, or otherwise not actually received and retained by Saconde, Saconde may cancel or reduce the associated Gift Card balance to the extent permitted by applicable law.

If some or all of the Gift Card value has already been redeemed, Saconde may take lawful action to recover improperly obtained value from the responsible party.

Nothing in this section authorizes Saconde to cancel legitimate value purchased with valid, finally settled funds in violation of applicable law.

21. NO RESALE OR COMMERCIAL DISTRIBUTION WITHOUT AUTHORIZATION

Unless expressly authorized in writing by Saconde, Gift Cards and Store Credits may not be:

(a) resold;

(b) brokered;

(c) commercially distributed;

(d) auctioned;

(e) used as consideration in an unauthorized commercial transaction;

(f) used for speculative trading or arbitrage; or

(g) used in connection with fraud, deceptive marketing, or unlawful conduct.

Saconde does not guarantee or assume responsibility for Gift Cards purchased from unauthorized third parties or resale platforms.

22. MAXIMUM AND MINIMUM VALUES

Saconde may establish minimum or maximum purchase, issuance, loading, balance, transaction, redemption, or account limits, subject to applicable law.

Such limits may vary based on:

(a) sales channel;

(b) transaction type;

(c) customer account;

(d) payment method;

(e) fraud risk;

(f) legal or regulatory requirements; or

(g) other legitimate business considerations.

Saconde may modify such limits prospectively at any time, subject to applicable law.

23. TAXES

The purchase of a Gift Card generally represents the purchase of stored value rather than the purchase of merchandise, although tax treatment may vary by jurisdiction and transaction.

Applicable taxes may be assessed when taxable merchandise or services are purchased using a Gift Card or Store Credit.

Customers remain responsible for all taxes, duties, assessments, and governmental charges applicable to their transactions.

24. UNCLAIMED PROPERTY AND ESCHEATMENT

Gift Cards and Store Credits may be subject to federal or state unclaimed-property, abandoned-property, or escheat laws.

Where required by applicable law, Saconde may be required to report, remit, transfer, or otherwise deliver unclaimed balances to a government authority after the applicable dormancy period.

If funds have been transferred to a government authority under applicable unclaimed-property law, the customer may be required to seek recovery directly from that authority.

Nothing in these Gift Card Terms is intended to waive or circumvent applicable unclaimed-property laws.

25. PRIVACY AND PERSONAL INFORMATION

Saconde may collect and process personal information in connection with the purchase, delivery, registration, redemption, replacement, investigation, fraud prevention, or administration of Gift Cards and Store Credits.

Such information will be handled in accordance with Saconde’s Privacy Policy and applicable law.

Gift Card recipients may receive transactional communications necessary to deliver or administer a Gift Card. Marketing communications will be governed by applicable consent requirements and Saconde’s applicable marketing terms and policies.

26. NO BANK ACCOUNT; NO INTEREST

Gift Cards and Store Credits are not bank accounts, deposit accounts, savings accounts, checking accounts, credit cards, debit cards, or general-purpose payment instruments.

No interest, earnings, rewards, or other return accrues on Gift Card or Store Credit balances unless expressly stated or required by law.

Gift Cards and Store Credits are not intended for use as money-transmission products or general-purpose payment instruments.

27. CLOSURE, INSOLVENCY, OR BUSINESS CHANGES

The enforceability and treatment of Gift Cards and Store Credits in the event of bankruptcy, insolvency, restructuring, receivership, liquidation, sale of the business, closure, or similar proceeding may be governed by applicable bankruptcy, insolvency, contract, consumer-protection, and other laws.

Nothing in these Gift Card Terms waives any rights a holder may have under applicable law.

28. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SACONDE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO A GIFT CARD OR STORE CREDIT.

THIS LIMITATION DOES NOT APPLY TO THE EXTENT PROHIBITED BY LAW AND DOES NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE DISCLAIMED OR LIMITED.

NOTHING IN THESE GIFT CARD TERMS LIMITS ANY NON-WAIVABLE CONSUMER RIGHT OR REMEDY.

29. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, GIFT CARDS AND STORE CREDITS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND EXCEPT AS EXPRESSLY PROVIDED OR REQUIRED BY LAW.

SACONDE DOES NOT DISCLAIM ANY WARRANTY THAT CANNOT LAWFULLY BE DISCLAIMED.

30. CHANGES TO THESE GIFT CARD TERMS

Saconde may update these Gift Card Terms from time to time to reflect changes in law, business practices, technology, security requirements, products, services, or operations.

Any changes will apply prospectively to the extent required by applicable law.

No amendment will retroactively eliminate vested monetary value or reduce a non-waivable statutory right.

The version identified by the most recent revision date will govern, subject to applicable law and any terms that were specifically disclosed when a Gift Card or Store Credit was issued.

31. SEVERABILITY AND SAVINGS CLAUSE

If any provision of these Gift Card Terms is found invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where appropriate, severed without affecting the remaining provisions.

These Gift Card Terms are intended to comply with applicable federal law and the laws of all fifty U.S. states to the extent applicable to Saconde's operations and transactions.

No provision of these Gift Card Terms is intended to waive, restrict, disclaim, or eliminate any right or remedy that cannot lawfully be waived.

If applicable law provides greater consumer protection than these Gift Card Terms, the legally required greater protection controls.

32. GOVERNING LAW AND DISPUTE RESOLUTION

Except to the extent prohibited by applicable law or governed by another binding agreement between the customer and Saconde, these Gift Card Terms will be governed by the laws of the State of New York, without regard to conflict-of-laws principles.

Any dispute concerning a Gift Card or Store Credit may also be subject to the arbitration, dispute-resolution, governing-law, class-action waiver, jury-trial waiver, or other provisions contained in Saconde’s applicable Terms and Conditions, Terms of Use, or Terms of Sale, to the extent enforceable and applicable.

Nothing in this section deprives a consumer of any non-waivable right, protection, forum, remedy, or governing-law protection available under applicable federal, state, or local law.

33. CUSTOMER SERVICE AND BALANCE INQUIRIES

Customers may contact Saconde regarding:

(a) Gift Card balances;

(b) redemption issues;

(c) digital delivery problems;

(d) replacement requests;

(e) suspected fraud or unauthorized use;

(f) legally required cash redemption;

(g) questions concerning expiration or fees; or

(h) other Gift Card or Store Credit matters.

Customer-service contact information and available support methods may be provided through Saconde.com, the Saconde app, transaction receipts, Gift Card materials, or other official Saconde communications.

Saconde may require reasonable verification before disclosing balance information, replacing value, processing a cash-redemption request, or taking action concerning a Gift Card or Store Credit.

34. ENTIRE AGREEMENT

These Gift Card Terms, together with any terms specifically disclosed at the time of purchase or issuance and any other applicable Saconde agreements incorporated by reference, constitute the agreement governing the applicable Gift Card or Store Credit.

If a specific promotion, Gift Card, or Store Credit includes additional terms, those additional terms will apply to that specific product or credit, provided that no such terms may eliminate rights that cannot lawfully be waived.
