1. INTRODUCTION

These Payment and Payout Terms (“Payment Terms”) govern payments made to and payouts made by Saconde & Saconde, LLC (“Saconde,” “Company,” “we,” “us,” or “our”) through or in connection with:

  1. the Saconde website;
  2. Saconde mobile applications, including applications made available for iOS, Android, or other supported platforms;
  3. the Saconde retail store, showroom, office, or other physical location;
  4. purchases, buyouts, consignments, auctions, bulk transactions, returns, refunds, credits, seller transactions, and related services;
  5. communications or transactions completed by email, telephone, text message, invoice, payment link, or another approved channel; and
  6. any other Saconde product, feature, marketplace, sales channel, or service that links to or incorporates these Payment Terms.

These Payment Terms apply to buyers, customers, sellers, consignors, vendors, account holders, payment recipients, and any other person or entity that makes a payment to or receives a payout from Saconde.

These Payment Terms supplement and form part of Saconde’s applicable Terms and Conditions, Buyer Terms or Terms of Sale, Seller Terms and Conditions, Consignment Terms, Bulk Auction Program Terms, Return and Shipping Policy, Gift Card and Store Credit Terms, Privacy Policy, and any transaction-specific agreement, offer, invoice, purchase order, receipt, or disclosure.

If a transaction-specific written agreement expressly conflicts with these Payment Terms, the transaction-specific written agreement will control only with respect to that conflict. Mandatory rights that cannot lawfully be waived remain unaffected.

2. ACCEPTANCE OF THESE PAYMENT TERMS

You accept these Payment Terms when you:

  1. make or attempt to make a payment to Saconde;
  2. authorize Saconde or a payment provider to charge a payment method;
  3. submit payment credentials or banking information;
  4. sell, consign, transfer, or deliver property to Saconde;
  5. accept or attempt to receive a payout, refund, reimbursement, credit, or other payment from Saconde;
  6. use a payment link, electronic invoice, point-of-sale terminal, mobile application, or other payment interface provided by Saconde;
  7. sign or electronically accept an offer, agreement, receipt, or transaction confirmation incorporating these Payment Terms; or
  8. otherwise participate in a transaction governed by these Payment Terms.

You may not use another person’s payment method, bank account, payment application, identity, or payout information without that person’s lawful authorization.

3. PAYMENT METHODS ACCEPTED BY SACONDE

Subject to availability, transaction type, location, risk review, applicable law, and Saconde’s approval, Saconde may accept payment through one or more of the following methods:

  1. credit cards;
  2. debit cards;
  3. prepaid cards, where accepted;
  4. Stripe or payment methods processed or supported through Stripe;
  5. bank account transfers;
  6. Automated Clearing House transfers;
  7. wire transfers;
  8. Venmo;
  9. Cash App;
  10. Zelle;
  11. checks;
  12. cash;
  13. gift cards or store credit, subject to separate terms;
  14. digital wallets or mobile wallets;
  15. payment links or electronic invoices;
  16. third-party financing or installment-payment services, where offered;
  17. marketplace or platform payment systems; and
  18. any other current or future payment method introduced, approved, or supported by Saconde.

The display or prior acceptance of a payment method does not require Saconde to accept that method for every transaction. Saconde may determine which payment methods are available based on the transaction amount, customer or seller history, fraud risk, item type, location, technical availability, identity verification, applicable law, or other legitimate business considerations.

Saconde may discontinue, suspend, restrict, or modify any payment method at any time, subject to applicable law.

4. THIRD-PARTY PAYMENT PROCESSORS

Saconde may use Stripe and other banks, card networks, payment processors, payment applications, financial institutions, acquiring banks, payout providers, fraud-prevention providers, and service providers to process payments and payouts.

By using a third-party payment method, you may also be subject to the third party’s:

  1. terms of service;
  2. privacy policy;
  3. account requirements;
  4. transaction limits;
  5. availability rules;
  6. identity-verification procedures;
  7. fraud-prevention controls;
  8. fees;
  9. transfer-processing times;
  10. dispute-resolution procedures; and
  11. account suspension or termination rules.

Saconde does not control the independent policies, systems, processing times, account restrictions, outages, or decisions of Stripe, Venmo, Cash App, Zelle, banks, card issuers, card networks, or other third-party providers.

The use of a third-party provider does not make Saconde a bank, money transmitter, financial institution, escrow company, fiduciary, or trustee, except to the extent a classification is expressly imposed by applicable law.

5. PAYMENT AUTHORIZATION

When you provide or select a payment method, you represent, warrant, and authorize that:

  1. you are the lawful owner or an authorized user of the payment method;
  2. all payment and billing information is accurate, complete, and current;
  3. you have authority to authorize the transaction;
  4. the payment method may be charged for the full amount shown at checkout, on the invoice, or in the transaction agreement;
  5. Saconde and its payment providers may verify the payment information;
  6. Saconde and its payment providers may obtain authorization from the issuer or financial institution;
  7. Saconde may resubmit or reprocess a payment that is initially declined, reversed, or interrupted, to the extent permitted by law and network rules;
  8. you will not use a payment method obtained through fraud, theft, deception, identity misuse, or unauthorized access; and
  9. you are responsible for charges resulting from your authorized use of the payment method.

An authorization hold may reduce your available credit or account balance even before the transaction is completed. The timing for releasing an authorization hold is generally controlled by the card issuer, bank, or payment provider.

6. PRICES, TAXES, FEES, AND TOTAL CHARGES

Prices are stated in United States dollars unless otherwise disclosed.

You agree to pay:

  1. the stated purchase price;
  2. applicable sales, use, excise, luxury, or similar taxes;
  3. shipping and delivery charges;
  4. insurance or declared-value charges;
  5. duties, tariffs, brokerage fees, and import or export charges;
  6. authentication, inspection, handling, storage, processing, or service fees when disclosed;
  7. return-shipping or redelivery charges when applicable;
  8. payment-related fees that may lawfully be imposed and are properly disclosed;
  9. collection costs where authorized by contract and law; and
  10. any other amount disclosed before completion of the transaction.

Saconde may calculate, collect, or remit taxes directly or through a marketplace, platform, processor, or tax service. Tax calculations may be based on the shipping address, pickup location, billing address, transaction location, item classification, marketplace rules, or other information reasonably available to Saconde.

You remain responsible for taxes, duties, and government charges not collected by Saconde, except where applicable law places that responsibility on Saconde.

Saconde will not impose a payment surcharge, service charge, or convenience fee where prohibited. Any permitted fee will be disclosed as required by applicable law.

7. PAYMENT COMPLETION AND ORDER ACCEPTANCE

Submitting payment does not necessarily mean that Saconde has accepted an order or transaction.

An order or purchase may remain subject to:

  1. payment authorization;
  2. fraud screening;
  3. identity verification;
  4. address verification;
  5. item availability;
  6. pricing verification;
  7. inventory verification;
  8. compliance screening;
  9. sanctions screening;
  10. transaction-limit review;
  11. final inspection; and
  12. confirmation by Saconde.

Saconde may reject, cancel, limit, or hold a transaction when reasonably necessary because of suspected fraud, unauthorized payment activity, pricing error, inventory error, regulatory concern, sanctions concern, identity mismatch, system error, payment failure, or violation of Saconde’s policies.

If Saconde cancels a transaction after receiving cleared funds, Saconde will issue any legally required refund, subject to lawful offsets and deductions.

8. PAYMENT FAILURES AND DECLINED TRANSACTIONS

A payment may be declined or fail because of:

  1. insufficient funds;
  2. expired or invalid credentials;
  3. an incorrect billing address;
  4. transaction limits;
  5. issuer restrictions;
  6. fraud controls;
  7. payment-provider restrictions;
  8. account freezes;
  9. system outages;
  10. compliance screening;
  11. identity-verification failures; or
  12. other reasons outside Saconde’s control.

Saconde is not responsible for fees assessed by your bank, card issuer, or payment provider, including overdraft, insufficient-funds, returned-payment, foreign-transaction, or cash-advance fees, except where such responsibility cannot be disclaimed by law.

You remain responsible for amounts owed when a payment is declined, returned, reversed, disputed, recalled, charged back, or otherwise not finally received and retained by Saconde.

9. CHECK PAYMENTS TO SACONDE

Saconde may accept personal checks, business checks, cashier’s checks, certified checks, or other negotiable instruments in its discretion.

Saconde may:

  1. require identification before accepting a check;
  2. refuse temporary, starter, third-party, post-dated, altered, or suspicious checks;
  3. wait for final settlement before releasing merchandise or completing a transaction;
  4. verify the check with the issuing bank;
  5. require a replacement payment method;
  6. place a transaction on hold while the check is processed; or
  7. decline checks for certain transactions or transaction amounts.

A check is not treated as final payment until it has been honored, finally settled, and is no longer reasonably subject to reversal.

If a check is returned, dishonored, stopped, reversed, or determined to be fraudulent, you remain liable for the original amount and any returned-check fee permitted by applicable law and properly disclosed.

Saconde will not impose a returned-check fee exceeding the amount allowed in the applicable state.

10. CASH PAYMENTS TO SACONDE

Saconde may accept cash for qualifying in-store purchases or other approved in-person transactions. Saconde may establish reasonable cash-acceptance limits and may decline cash where permitted by law, subject to any applicable local cash-acceptance requirements.

Saconde may require:

  1. government-issued identification;
  2. completion of transaction records;
  3. information required for tax or regulatory reporting;
  4. verification of the source or authenticity of funds;
  5. managerial approval; or
  6. additional documentation for large or unusual cash transactions.

Saconde may report cash transactions when required by federal, state, or local law. Transactions may be aggregated when the law treats separate payments as related transactions.

No person may structure, split, stagger, or disguise payments to avoid identification, recordkeeping, reporting, transaction limits, or other legal requirements. Saconde may refuse, suspend, or report a transaction that appears designed to evade such requirements.

11. PAYMENT THROUGH VENMO, CASH APP, OR ZELLE

Saconde may, in its discretion, accept certain payments through Venmo, Cash App, Zelle, or another peer-to-peer or account-to-account payment service.

Such payments are accepted only when:

  1. Saconde has expressly approved that payment method for the transaction;
  2. payment is sent to the account or identifier expressly designated by Saconde;
  3. the payment includes any transaction reference requested by Saconde;
  4. the sender’s identity and account information are consistent with the transaction;
  5. the payment is not marked, structured, or represented in a misleading manner; and
  6. Saconde confirms receipt.

A screenshot, transfer confirmation, pending notice, or statement that funds were sent does not establish final payment. Payment is complete only after Saconde confirms that cleared funds have been received and are not subject to a pending reversal, restriction, or review.

You are responsible for verifying the destination information before sending funds. Saconde is not responsible for funds sent to an incorrect username, telephone number, email address, QR code, profile, or account that was not expressly designated by Saconde, except to the extent liability cannot be excluded by law.

12. NO UNAUTHORIZED OFF-PLATFORM PAYMENTS

Customers, sellers, employees, contractors, and other users may not direct, request, or make payments through an unapproved personal account or payment channel.

A payment to an employee, contractor, seller, social-media account, personal payment application, or other recipient is not payment to Saconde unless Saconde expressly authorized the recipient and payment instructions in writing.

You should report suspicious or inconsistent payment instructions to hello@saconde.com before sending funds.

13. REFUNDS

Refund eligibility is governed by Saconde’s Return, Shipping, Final Sale, and Authenticity Claim Policy, Buyer Terms, transaction-specific terms, and applicable law.

When a refund is approved, Saconde may issue the refund:

  1. to the original payment method;
  2. by check;
  3. through Stripe;
  4. by bank transfer;
  5. through Venmo, Cash App, Zelle, or another payment service;
  6. as store credit or a gift card, where agreed or legally permitted; or
  7. through another method selected by Saconde that is reasonably appropriate and lawful.

Unless applicable law requires otherwise, Saconde determines the refund method. Saconde may require identity verification or proof of payment before issuing a refund.

Refund processing times vary based on the payment method, bank, card issuer, processor, and payment network. Saconde is not responsible for processing delays occurring after Saconde timely submits the refund to the applicable provider.

Shipping charges, duties, transaction fees, or other charges may be nonrefundable where disclosed and permitted by law.

Nothing in these Payment Terms limits a consumer’s nonwaivable refund or cancellation rights under applicable law.

14. OVERPAYMENTS AND DUPLICATE PAYMENTS

If Saconde identifies an overpayment or duplicate payment, Saconde may:

  1. refund the excess amount;
  2. apply the excess amount to another undisputed amount you owe;
  3. issue store credit with your agreement, where required;
  4. contact you for refund instructions; or
  5. take another action permitted by law.

Saconde may require reasonable verification before returning an overpayment, particularly when the requested recipient or destination differs from the original payer or payment method.

15. CHARGEBACKS, PAYMENT DISPUTES, AND REVERSALS

You agree to contact Saconde at hello@saconde.com before initiating a chargeback or payment dispute when you believe there is a billing problem, except where doing so would interfere with a legal deadline or nonwaivable right.

Nothing in these Payment Terms prevents you from exercising lawful billing-error, chargeback, or electronic-transfer rights.

However, you may not initiate or pursue a chargeback, reversal, stop-payment request, or payment dispute that is knowingly false, fraudulent, duplicative, or inconsistent with goods or services you received.

When a chargeback, reversal, recall, or dispute is initiated, Saconde may:

  1. provide transaction records to the processor, bank, card issuer, payment application, or network;
  2. contest the dispute;
  3. suspend fulfillment or delivery;
  4. suspend or restrict the associated account;
  5. preserve relevant communications and evidence;
  6. offset the disputed amount against amounts otherwise payable to you, where lawful;
  7. pursue payment through lawful collection methods; or
  8. take other reasonable action to protect Saconde from loss.

You remain responsible for undisputed amounts that are validly owed to Saconde.

A determination by a card issuer, bank, processor, or payment service does not necessarily resolve separate contractual claims between you and Saconde.

16. SELLER AND CONSIGNOR PAYOUTS

Payouts to sellers, consignors, vendors, auction participants, or other payment recipients are governed by these Payment Terms and any applicable:

  1. Seller Terms and Conditions;
  2. Consignment Terms;
  3. Buyout Offer;
  4. Bulk Auction Program Terms;
  5. purchase agreement;
  6. settlement statement;
  7. invoice;
  8. vendor agreement; or
  9. other transaction-specific agreement.

No payout is owed unless and until all applicable conditions have been satisfied, which may include:

  1. Saconde’s receipt of the item;
  2. completion of inspection and authentication;
  3. final acceptance of the item;
  4. confirmation of title and ownership;
  5. completion of identity verification;
  6. receipt of required tax information;
  7. expiration of any applicable review or cancellation period;
  8. completion and final settlement of the underlying customer transaction;
  9. resolution of returns, chargebacks, disputes, authenticity claims, or fraud concerns;
  10. deduction of applicable commissions, fees, advances, expenses, offsets, or other authorized amounts; and
  11. satisfaction of legal, regulatory, sanctions, or compliance requirements.

17. SACONDE SELECTS THE PAYOUT METHOD

To the fullest extent permitted by law, Saconde has the sole right to select, approve, change, or substitute the method by which any seller, consignor, vendor, customer, or other recipient is paid.

A recipient may express a preferred payout method, but Saconde is not required to use that method.

Saconde may select or substitute a payout method based on:

  1. payout amount;
  2. transaction type;
  3. recipient location;
  4. identity-verification status;
  5. account ownership;
  6. fraud risk;
  7. transaction history;
  8. processor or bank availability;
  9. payout limits;
  10. technical availability;
  11. regulatory or tax requirements;
  12. the need to create a reliable payment record;
  13. the recipient’s failure to provide valid payout information;
  14. prior failed or reversed transfers; or
  15. other legitimate operational or compliance considerations.

Saconde may choose to issue a payout using:

  1. Stripe;
  2. Automated Clearing House transfer;
  3. bank transfer;
  4. domestic or international wire transfer;
  5. Venmo;
  6. Cash App;
  7. Zelle;
  8. check;
  9. cash for qualified in-store buyouts;
  10. store credit, when expressly agreed or legally permitted;
  11. a marketplace or platform payout system;
  12. another payment processor; or
  13. any other current or future payout method introduced or approved by Saconde.

The availability of a payout method in one transaction does not require Saconde to use or offer the same method in another transaction.

Saconde will not use a method prohibited by applicable law, and nothing in this section eliminates a recipient’s nonwaivable statutory rights.

18. CASH PAYOUTS FOR QUALIFIED IN-STORE BUYOUTS

Cash payouts may be offered only for qualified in-store buyout transactions and only when expressly approved by Saconde.

Cash payouts are:

  1. not guaranteed;
  2. subject to available cash limits;
  3. subject to identity verification;
  4. subject to item authentication and final acceptance;
  5. subject to transaction-size limits;
  6. subject to compliance and fraud review;
  7. subject to federal, state, and local reporting and recordkeeping requirements; and
  8. available only at an approved Saconde location and during approved hours.

Saconde may require a cash recipient to sign:

  1. a receipt;
  2. a buyout confirmation;
  3. an acknowledgment of payment;
  4. an identity-verification record;
  5. a tax or regulatory form; or
  6. another transaction document.

Saconde may refuse or substitute another payout method when cash is unavailable, unsafe, impractical, legally restricted, or inconsistent with Saconde’s compliance procedures.

A recipient may not demand that a transaction be divided into multiple cash payouts to avoid a transaction limit, identification requirement, or reporting obligation.

19. PAYOUT INFORMATION AND ACCOUNT OWNERSHIP

Before receiving a payout, you may be required to provide:

  1. your legal name;
  2. residential or business address;
  3. date of birth;
  4. telephone number;
  5. email address;
  6. government-issued identification;
  7. taxpayer identification number;
  8. Social Security number or Employer Identification Number;
  9. bank account and routing information;
  10. payment-application username or associated contact information;
  11. business-formation documents;
  12. proof of account ownership;
  13. beneficial-ownership information;
  14. tax forms;
  15. proof of authority to act for an entity or another person; and
  16. any other information reasonably necessary for payment, fraud prevention, tax reporting, sanctions screening, or legal compliance.

You represent that all payout information is accurate, current, complete, and belongs to you or to the legal entity entitled to payment.

Saconde may refuse to send a payout to:

  1. an unrelated third party;
  2. an account with a mismatched name;
  3. an account that cannot be verified;
  4. an account associated with suspected fraud;
  5. an account subject to sanctions or legal restrictions;
  6. an anonymous or unsupported payment account; or
  7. a destination prohibited by law or processor rules.

Saconde may require the payout recipient’s name to match the seller, consignor, contracting party, or verified business name.

20. RESPONSIBILITY FOR ACCURATE PAYOUT INSTRUCTIONS

You are responsible for reviewing and confirming payout instructions before submission.

Saconde is not responsible for a payout sent in accordance with inaccurate information provided by you, except to the extent Saconde failed to exercise legally required care.

You must promptly notify Saconde if:

  1. your bank account changes;
  2. your payment-service account changes;
  3. your address changes;
  4. your legal name or business name changes;
  5. you believe payout credentials have been compromised;
  6. you receive a payout that does not belong to you; or
  7. you identify an error in a payout.

Saconde may require updated verification before changing payout instructions. A change request may delay payment.

Saconde may contact you through previously verified contact information before approving a payout change.

21. PAYOUT TIMING

Any payout date or processing estimate is an estimate unless Saconde expressly guarantees a specific deadline in a written agreement or applicable law requires payment by a particular date.

Payout timing may depend on:

  1. authentication and inspection;
  2. final acceptance;
  3. sale completion;
  4. delivery to the buyer;
  5. expiration of a return or dispute period;
  6. processor settlement;
  7. customer payment clearance;
  8. weekends and bank holidays;
  9. banking cutoff times;
  10. identity verification;
  11. tax-document completion;
  12. fraud or compliance review;
  13. chargebacks, returns, disputes, or claims;
  14. banking or processor outages;
  15. sanctions or legal review; and
  16. events outside Saconde’s reasonable control.

A payout is deemed initiated when Saconde submits valid payment instructions to the applicable bank, processor, payment application, or delivery service.

Saconde is not responsible for delays caused by the recipient’s bank, payment provider, mail carrier, incorrect information, account restrictions, or failure to complete verification, except where applicable law provides otherwise.

22. PAYOUT HOLDS, DELAYS, AND RESERVES

To the fullest extent permitted by law and the applicable transaction agreement, Saconde may delay, hold, reserve, suspend, reduce, or withhold a payout when reasonably necessary to address:

  1. an authenticity concern;
  2. a title or ownership dispute;
  3. a lien, security interest, or competing claim;
  4. suspected counterfeit, stolen, altered, or unlawfully obtained goods;
  5. a customer return;
  6. a payment reversal or chargeback;
  7. a buyer dispute;
  8. a fraud investigation;
  9. identity-verification failure;
  10. suspected account takeover;
  11. inaccurate seller information;
  12. tax-document deficiencies;
  13. sanctions or anti-money-laundering concerns;
  14. a government, court, regulator, law-enforcement, or processor request;
  15. a breach of Saconde’s terms;
  16. an amount the recipient may owe Saconde;
  17. anticipated losses reasonably related to the recipient’s transactions;
  18. processor settlement delay;
  19. insolvency or account restriction affecting a payment provider; or
  20. another legitimate risk or legal-compliance concern.

Any hold or reserve will be administered in accordance with the applicable agreement and applicable law. Saconde will not withhold amounts for an unlawful purpose.

23. DEDUCTIONS, COMMISSIONS, FEES, AND OFFSETS

Before issuing a payout, Saconde may deduct amounts authorized by the applicable agreement or law, including:

  1. commissions;
  2. seller fees;
  3. auction fees;
  4. authentication fees;
  5. counterfeit-item fees;
  6. shipping and return-shipping costs;
  7. insurance or declared-value costs;
  8. storage charges;
  9. cleaning, repair, restoration, or preparation charges;
  10. promotional or marketing charges;
  11. payment-processing charges where contractually authorized;
  12. advances previously paid;
  13. customer refunds;
  14. chargebacks;
  15. transaction reversals;
  16. credits issued to buyers;
  17. taxes or legally required withholding;
  18. amounts resulting from inaccurate seller representations;
  19. amounts owed for lost, damaged, counterfeit, stolen, encumbered, or misrepresented property;
  20. collection costs where authorized;
  21. prior overpayments; and
  22. other amounts expressly authorized by the applicable agreement or law.

Saconde may offset an amount owed by a recipient against an amount Saconde otherwise owes that recipient when permitted by contract and applicable law.

Saconde will not deduct an amount prohibited by applicable law.

24. CHECK PAYOUTS

Saconde may issue a payout by check even when another method was requested.

Checks may be mailed to the verified address on file or made available for in-person pickup. Saconde may require identification and a signature before releasing a check.

The recipient is responsible for:

  1. maintaining an accurate mailing address;
  2. promptly depositing or cashing the check;
  3. safeguarding the check;
  4. notifying Saconde of nonreceipt;
  5. reporting loss, theft, alteration, or destruction; and
  6. cooperating with stop-payment and replacement procedures.

Saconde may impose a reasonable stop-payment or replacement-check fee when permitted by law and when the loss resulted from inaccurate information or conduct attributable to the recipient. No fee will exceed the amount permitted by applicable law.

Saconde may require a waiting period, declaration of loss, indemnity, or other documentation before replacing a check.

A stale, expired, uncashed, or undeliverable check may be voided or handled under applicable unclaimed-property law.

25. VENMO, CASH APP, AND ZELLE PAYOUTS

Saconde may issue payouts through Venmo, Cash App, Zelle, or another payment application when Saconde determines that method is appropriate.

The recipient must:

  1. maintain an active and eligible account;
  2. provide accurate account information;
  3. ensure the account can receive the payout;
  4. comply with the provider’s terms;
  5. complete any provider verification;
  6. pay any fees charged directly by the provider; and
  7. promptly notify Saconde if the transfer does not arrive.

Saconde may require confirmation of the recipient’s username, telephone number, email address, QR code, account ownership, or other destination information.

Once a payout has been correctly transmitted to the destination provided and accepted by the provider, Saconde’s payment obligation is satisfied to the extent permitted by law, unless the transfer is returned or Saconde is otherwise legally responsible.

Saconde is not responsible for a recipient’s inability to access funds because the recipient’s payment account is restricted, suspended, frozen, closed, or subject to provider limits.

26. BANK AND WIRE TRANSFER PAYOUTS

Saconde may issue a payout by Automated Clearing House transfer, bank transfer, or wire transfer.

The recipient is responsible for providing correct:

  1. account-holder name;
  2. bank name;
  3. routing number;
  4. account number;
  5. account type;
  6. SWIFT or BIC code;
  7. intermediary-bank details;
  8. beneficiary address;
  9. reference information; and
  10. any other required banking details.

Bank and wire fees may be deducted from the payout when authorized by the applicable agreement and permitted by law. The recipient’s bank or an intermediary bank may separately deduct fees.

Saconde may reject or delay a transfer when banking details are incomplete, inconsistent, unsupported, or associated with elevated fraud or sanctions risk.

Saconde may require a different payout method rather than transmitting an international or high-risk transfer.

27. FAILED, RETURNED, OR REJECTED PAYOUTS

A payout may fail or be returned because of:

  1. incorrect account information;
  2. a closed account;
  3. a name mismatch;
  4. provider transaction limits;
  5. account restrictions;
  6. rejection by the recipient’s bank;
  7. compliance screening;
  8. inactivity;
  9. an expired check;
  10. refusal of delivery; or
  11. another issue outside Saconde’s control.

If a payout fails, Saconde may:

  1. request corrected information;
  2. require additional verification;
  3. retry the payout;
  4. select a different payout method;
  5. issue a check;
  6. hold the funds until valid instructions are received;
  7. deduct a returned-transfer or reissuance fee when contractually authorized and legally permitted; or
  8. remit the funds as unclaimed property when required by law.

Repeated payout failures may result in a longer hold or a mandatory alternative payout method.

28. PAYOUT ERRORS AND OVERPAYMENTS

You must review each payout and notify Saconde promptly of any suspected error.

If Saconde overpays you, you agree to:

  1. promptly notify Saconde;
  2. refrain from spending or transferring the excess amount;
  3. return the overpayment using the method directed by Saconde; and
  4. cooperate with reasonable recovery efforts.

Saconde may recover an overpayment by:

  1. reversing the transfer where permitted;
  2. requesting repayment;
  3. deducting the overpayment from future payouts;
  4. offsetting another amount owed to you; or
  5. pursuing other lawful remedies.

Receiving an overpayment does not give the recipient a legal right to retain funds not actually owed.

29. TAX INFORMATION AND REPORTING

You are responsible for determining and satisfying your tax obligations arising from a purchase, sale, consignment, buyout, payout, or other transaction.

Saconde may:

  1. request a completed Form W-9, Form W-8, or other tax form;
  2. verify taxpayer information;
  3. issue Form 1099 or another information return;
  4. withhold amounts when required by law;
  5. report payments to the Internal Revenue Service or state tax authorities;
  6. delay payouts until required tax information is provided; or
  7. correct previously issued tax forms.

You represent that all taxpayer information you provide is accurate and complete.

Saconde does not provide tax advice. You should consult your own tax professional regarding your individual circumstances.

30. IDENTITY VERIFICATION, FRAUD PREVENTION, AND COMPLIANCE

Saconde may require identity, business, ownership, banking, payment, tax, or transaction verification before accepting payment or issuing a payout.

Verification may include:

  1. reviewing government-issued identification;
  2. comparing names, addresses, dates of birth, telephone numbers, or email addresses;
  3. verifying bank or payment-account ownership;
  4. confirming beneficial owners or authorized representatives;
  5. screening against sanctions or restricted-party lists;
  6. reviewing device, transaction, and account information;
  7. requesting invoices, receipts, provenance, or proof of ownership;
  8. using third-party identity or fraud-prevention services; and
  9. requesting additional documentation when reasonably necessary.

Saconde may refuse, cancel, suspend, or report a transaction when it reasonably suspects fraud, identity theft, money laundering, sanctions violations, stolen goods, counterfeit goods, unauthorized payment activity, or another unlawful act.

31. ANTI-MONEY-LAUNDERING AND SANCTIONS COMPLIANCE

No person may use Saconde’s services to:

  1. launder money;
  2. finance terrorism;
  3. conceal the source or ownership of funds;
  4. evade sanctions;
  5. structure transactions to avoid reporting;
  6. transact in proceeds of unlawful activity;
  7. purchase or sell stolen or prohibited property;
  8. use a false identity;
  9. misuse another person’s account; or
  10. engage in conduct prohibited by applicable law.

Saconde may block, reject, delay, freeze, or report a payment or payout when required or permitted by applicable law, court order, subpoena, sanctions program, regulator, financial institution, processor, or law-enforcement request.

Saconde is not required to disclose information where disclosure is prohibited by law or would compromise an investigation.

32. UNCLAIMED, ABANDONED, OR UNDELIVERABLE FUNDS

If Saconde owes you funds but cannot deliver them because:

  1. your address is invalid;
  2. your bank or payment account is closed;
  3. a check remains uncashed;
  4. you fail to provide requested payout information;
  5. you do not respond to communications;
  6. the recipient cannot be identified or located; or
  7. another delivery problem remains unresolved,

Saconde may hold the funds, attempt to contact you, and take any action required under applicable state unclaimed-property law.

After the applicable dormancy period and required due-diligence procedures, Saconde may be legally required to transfer the funds to the appropriate state unclaimed-property administrator.

Once funds have been transferred to a state, you may be required to submit a claim directly to that state. Saconde may no longer possess or control the funds.

Nothing in these Payment Terms shortens a state-law dormancy period or eliminates legally required notices.

33. NO INTEREST; NO ESCROW OR TRUST RELATIONSHIP

Except where expressly required by law or a written agreement, amounts pending payment or payout do not earn interest for the customer, seller, consignor, or other recipient.

Saconde does not hold funds as an escrow agent, trustee, bank, fiduciary, or money transmitter merely because a payment or payout remains pending, except where applicable law expressly provides otherwise.

No fiduciary relationship is created by these Payment Terms.

34. TRANSACTION LIMITS

Saconde may establish minimum or maximum payment and payout amounts for particular methods.

Limits may depend on:

  1. payment-provider restrictions;
  2. transaction risk;
  3. item value;
  4. customer or seller history;
  5. identity-verification level;
  6. location;
  7. legal requirements;
  8. available cash;
  9. banking limits; or
  10. operational considerations.

Saconde may require a transaction to be completed through a bank transfer, wire transfer, check, or another traceable payment method when the amount exceeds a threshold established by Saconde.

No person may divide a transaction to evade a limit, review, recordkeeping requirement, or reporting obligation.

35. CURRENCY AND INTERNATIONAL TRANSACTIONS

Unless otherwise stated, Saconde processes payments and payouts in United States dollars.

If a bank, card issuer, processor, or payment provider converts currency, it may determine the exchange rate and charge conversion or international-transaction fees.

Saconde is not responsible for exchange-rate changes or third-party conversion fees.

Saconde may decline international payments or payouts or require additional verification, banking information, tax documentation, or compliance review.

Any international transaction remains subject to applicable sanctions, export controls, customs laws, and financial regulations.

36. SECURITY OF PAYMENT INFORMATION

You are responsible for maintaining the security of your:

  1. Saconde account;
  2. email account;
  3. banking credentials;
  4. card information;
  5. payment-application account;
  6. passwords;
  7. verification codes; and
  8. devices.

You must promptly report suspected unauthorized access or fraudulent activity to Saconde and the applicable bank, card issuer, or payment provider.

Saconde may communicate payment or payout instructions through verified channels. You should independently verify unexpected instructions, particularly instructions changing a destination account or requesting payment to a new recipient.

Saconde will never require you to disclose a complete password or one-time authentication code by unsolicited email or message.

37. PRIVACY

Saconde and its service providers may collect, use, retain, disclose, and process payment and payout information as described in Saconde’s Privacy Policy and applicable third-party privacy policies.

Payment information may be used for:

  1. transaction processing;
  2. identity verification;
  3. fraud prevention;
  4. account administration;
  5. tax reporting;
  6. compliance screening;
  7. dispute resolution;
  8. customer support;
  9. recordkeeping;
  10. enforcement of agreements; and
  11. legal compliance.

Payment-card information may be processed and stored by Stripe or another payment provider rather than directly by Saconde.

38. RECORDS AND ELECTRONIC COMMUNICATIONS

Saconde may maintain electronic or physical records of payments and payouts, including:

  1. receipts;
  2. invoices;
  3. processor confirmations;
  4. bank references;
  5. transaction identifiers;
  6. signed acknowledgments;
  7. communications;
  8. verification records;
  9. shipping and delivery records;
  10. settlement statements; and
  11. dispute evidence.

You consent to receiving payment-related communications and records electronically, subject to applicable electronic-signature and consumer-disclosure laws.

You may print or save copies for your records.

39. CORRECTION OF ERRORS

Saconde may correct typographical, mathematical, clerical, system, or processing errors in invoices, receipts, payment records, payout calculations, or account balances.

If an error results in an incorrect amount, Saconde may issue a correction, supplemental payment, refund, debit, offset, or repayment request as appropriate.

Saconde will not use this section to change an agreed transaction price after completion except to correct a genuine error, address fraud, or exercise a right provided by the applicable agreement or law.

40. COMMUNICATIONS ABOUT PAYMENT OR PAYOUT ISSUES

Questions or notices concerning payments or payouts should be sent to:

Your notice should include, as applicable:

  1. your full name;
  2. the email address or telephone number associated with the transaction;
  3. the order, offer, invoice, or transaction number;
  4. the date and amount;
  5. the payment or payout method;
  6. a description of the issue; and
  7. supporting documentation.

Do not send complete card numbers, complete bank-account numbers, passwords, or authentication codes by unsecured email.

41. STATE-SPECIFIC AND LOCAL CONSUMER RIGHTS

These Payment Terms are intended to apply throughout the United States, including all 50 states and the District of Columbia.

State and local laws may provide additional or different rights concerning:

  1. payment disclosures;
  2. card surcharges;
  3. returned-check fees;
  4. refunds;
  5. cash acceptance;
  6. gift cards and store credit;
  7. electronic transfers;
  8. debt collection;
  9. interest;
  10. abandoned or unclaimed property;
  11. taxes;
  12. automatic renewal;
  13. consumer notices;
  14. transaction receipts;
  15. payment-processing fees; and
  16. unfair or deceptive practices.

Saconde will apply these Payment Terms in a manner consistent with applicable law.

Where a state or local law grants a right that cannot be waived, these Payment Terms do not waive or restrict that right.

Where a fee, deduction, hold, offset, deadline, limitation, or procedure described in these Payment Terms is prohibited or restricted in a particular jurisdiction, it will apply only to the maximum extent permitted in that jurisdiction.

42. CALIFORNIA RESIDENTS

Nothing in these Payment Terms waives any nonwaivable right available under California law.

Any returned-check charge, payment fee, refund practice, collection activity, electronic-transfer procedure, or other payment-related practice applicable to a California resident will be limited to the amount and procedure allowed under California law.

California residents may also have privacy rights concerning payment and transaction information as described in Saconde’s Privacy Policy.

43. NEW YORK RESIDENTS AND NEW YORK TRANSACTIONS

Saconde’s New York retail/showroom transactions are subject to applicable New York State and New York City requirements.

Nothing in these Payment Terms limits any nonwaivable right under New York law, including applicable rights concerning:

  1. consumer receipts;
  2. refund disclosures;
  3. cash acceptance;
  4. returned checks;
  5. deceptive practices;
  6. gift cards or store credit;
  7. abandoned property;
  8. taxes; and
  9. transaction records.

Any cash-acceptance practice at Saconde’s New York City retail/showroom location will be administered in accordance with applicable New York City law and any lawful exception.

44. MASSACHUSETTS, CONNECTICUT, COLORADO, VIRGINIA, TEXAS, FLORIDA, ILLINOIS, AND OTHER STATES

Certain states impose specific requirements concerning electronic payments, consumer disclosures, privacy, returned checks, payment fees, refunds, unclaimed property, and unfair or deceptive practices.

Saconde will provide any state-specific notice, limitation, or procedure required for a transaction in such a state.

A provision that conflicts with a mandatory state law will be modified only to the minimum extent necessary to comply with that law, while the remainder of these Payment Terms remains effective.

45. LIMITATION OF LIABILITY FOR PAYMENT SERVICES

To the fullest extent permitted by law, Saconde is not liable for losses caused solely by:

  1. a bank, card issuer, processor, payment application, or payment network;
  2. an outage or service interruption outside Saconde’s reasonable control;
  3. inaccurate payment or payout information supplied by the user;
  4. the recipient’s failure to maintain an eligible account;
  5. provider transaction limits;
  6. currency conversion;
  7. a bank or provider’s decision to restrict an account;
  8. mail delay or loss not caused by Saconde;
  9. unauthorized access resulting from the user’s failure to safeguard credentials; or
  10. a legal hold, sanctions restriction, court order, or government directive.

This limitation does not exclude liability for Saconde’s fraud, willful misconduct, gross negligence where liability cannot be waived, violation of applicable law, or breach of a nonwaivable statutory duty.

No provision of these Payment Terms limits remedies that cannot lawfully be limited.

46. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify and hold harmless Saconde and its members, managers, officers, employees, contractors, affiliates, agents, and service providers from third-party claims, liabilities, damages, losses, and reasonable costs arising from:

  1. your unauthorized use of a payment method;
  2. inaccurate payment or payout information you provided;
  3. your violation of these Payment Terms;
  4. fraud, identity misuse, or unlawful conduct by you;
  5. your violation of a third party’s rights;
  6. your failure to pay amounts validly owed; or
  7. your violation of applicable law.

This section does not require a consumer to indemnify Saconde for Saconde’s own violation of law, negligence where such indemnification is prohibited, or other liability that cannot lawfully be shifted.

47. GOVERNING LAW AND DISPUTE TERMS

Except where prohibited by applicable law, these Payment Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any arbitration agreement, class-action waiver, forum-selection provision, informal dispute-resolution procedure, or other dispute term contained in Saconde’s applicable Terms and Conditions, Seller Terms, Buyer Terms, or transaction agreement is incorporated into these Payment Terms.

Nothing in this section deprives a consumer of protections that apply regardless of a contractual choice-of-law provision.

48. CHANGES TO PAYMENT METHODS OR PROVIDERS

Saconde may add, remove, replace, or modify payment or payout providers and methods, including introducing new:

  1. payment processors;
  2. banking partners;
  3. digital wallets;
  4. payment applications;
  5. financing options;
  6. payout systems;
  7. payment technologies; or
  8. transaction features.

These Payment Terms automatically apply to any new payment or payout method introduced by Saconde unless separate terms are provided.

The introduction of a new method does not guarantee that it will be available to every user or transaction.

49. CHANGES TO THESE PAYMENT TERMS

Saconde may revise these Payment Terms to reflect:

  1. changes in law;
  2. changes in payment providers;
  3. new payment or payout methods;
  4. operational changes;
  5. fraud-prevention developments;
  6. regulatory requirements; or
  7. changes to Saconde’s services.

The updated version will state a revised effective date and will be posted through the applicable website, application, store, or service.

Changes will apply prospectively unless a retroactive application is permitted by law and expressly disclosed.

Material changes will be communicated as required by applicable law.

50. SEVERABILITY AND REFORMATION

If any provision of these Payment Terms is held invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted and modified only to the minimum extent necessary.

The remaining provisions will remain in effect.

No provision will be interpreted to waive a nonwaivable consumer, payment, tax, privacy, electronic-transfer, or unclaimed-property right.

51. NO WAIVER

Saconde’s failure to enforce a provision does not waive its right to enforce that provision later.

A waiver is effective only if expressly made in writing by an authorized Saconde representative.

52. ENTIRE PAYMENT AGREEMENT

These Payment Terms, together with Saconde’s applicable transaction agreements, policies, offers, invoices, receipts, and disclosures, constitute the agreement governing payments and payouts for the applicable transaction.

They supersede prior oral or written statements concerning payment or payout procedures to the extent those statements conflict with these Payment Terms, except for a later written agreement expressly approved by Saconde.
