1. INTRODUCTION

These Promotions and Referral Program Terms (“Promotion Terms”) govern promotional offers, discount codes, coupons, credits, referral programs, rewards, incentives, giveaways that do not involve chance, loyalty benefits, limited-time offers, introductory offers, price reductions, promotional store credits, and similar programs offered by Saconde & Saconde, LLC (“Saconde,” “Company,” “we,” “us,” or “our”).

These Promotion Terms apply to promotions and referral programs offered through or in connection with:

These Promotion Terms supplement Saconde’s Terms and Conditions, Terms of Sale, Buyer Terms, Seller Terms, Privacy Policy, Cookie Policy, Gift Card and Store Credit Terms, SMS Terms, Push Notification Terms, and other applicable policies or transaction-specific terms.

By participating in a promotion or referral program, using a promotional code, accepting a promotional benefit, or referring another person to Saconde, you agree to these Promotion Terms and any additional rules disclosed with the applicable offer.

2. ELIGIBILITY

Unless the applicable promotion expressly provides otherwise, participants must:

  1. be at least eighteen years old or the age of majority in their state of residence, whichever is higher;
  2. be legally capable of entering into a binding agreement;
  3. reside in a jurisdiction in which the promotion is lawfully offered;
  4. comply with these Promotion Terms and all applicable laws;
  5. provide accurate, complete, and current information; and
  6. maintain an account in good standing when an account is required.

Employees, officers, directors, contractors, representatives, agents, and immediate family or household members of Saconde may be excluded from particular promotions at Saconde’s discretion or where required by law.

Promotions are void where prohibited or restricted by law.

3. ADDITIONAL PROMOTION-SPECIFIC TERMS

Each promotion may be subject to additional terms displayed in the offer, advertisement, landing page, promotional communication, checkout page, application screen, referral invitation, or other accompanying disclosure.

Promotion-specific terms may include:

Promotion-specific terms form part of these Promotion Terms. If they conflict with these general Promotion Terms, the promotion-specific terms will control with respect to that promotion, except where prohibited by law.

4. PROMOTIONAL PERIODS

A promotion begins and ends at the times stated in the applicable offer. Unless otherwise stated, times refer to Eastern Time.

Saconde’s systems and records will be the official timekeeping method for determining whether an entry, purchase, referral, redemption, or other activity occurred during the promotional period.

Saconde may extend, shorten, suspend, cancel, or modify a promotion when reasonably necessary because of:

Any modification will be subject to applicable law and will not unlawfully deprive a participant of an already-earned and vested benefit.

5. PROMOTIONAL CODES AND COUPONS

Promotional codes, coupons, and similar offers:

  1. may be used only during the stated promotional period;
  2. may be subject to a minimum purchase requirement;
  3. may apply only to eligible merchandise, services, customers, or sales channels;
  4. may be limited to one use per person, household, account, payment method, device, address, telephone number, email address, or transaction;
  5. may not be combined with other offers unless expressly permitted;
  6. have no cash value unless required by law;
  7. may not be sold, transferred, reproduced, copied, auctioned, traded, or purchased unless Saconde expressly authorizes it;
  8. may not be applied retroactively to completed transactions;
  9. may not apply to taxes, shipping charges, insurance, duties, authentication fees, service fees, or other charges unless expressly stated;
  10. may be excluded from particular luxury brands, limited-edition items, consigned merchandise, auction merchandise, negotiated purchases, bulk transactions, gift cards, store credit purchases, or other designated items;
  11. may not be used to obtain cash back or a refund exceeding the amount actually paid; and
  12. may be rejected or cancelled if obtained, distributed, redeemed, or used in violation of these Promotion Terms.

Unless otherwise stated, only one promotional code may be used per transaction.

6. PRICING AND ERRORS

Saconde attempts to describe promotions accurately, but promotional materials may contain typographical, pricing, technical, inventory, or other errors.

To the fullest extent permitted by law, Saconde may correct an error and cancel or refuse a transaction affected by an obvious error, including after an order is submitted. If Saconde cancels an affected transaction after payment has been collected, Saconde will refund the amount collected for the cancelled portion of the transaction.

Saconde will not enforce an obviously erroneous promotional price where enforcement is not required by applicable law.

Nothing in this section limits any non-waivable rights under state consumer-protection, pricing, advertising, or unfair-trade-practice laws.

7. AVAILABILITY AND INVENTORY

Promotions may be offered only while supplies last. Products shown in advertisements may be unavailable, one of a kind, limited in quantity, or subject to prior sale.

A promotion does not guarantee the availability of any product, brand, size, color, condition, model, or service.

Saconde may establish reasonable quantity limits to prevent resale abuse, fraud, hoarding, market manipulation, or depletion of limited inventory.

8. REFERRAL PROGRAM ELIGIBILITY

Saconde may allow eligible customers or users (“Referrers”) to refer new or eligible customers (“Referred Customers”).

Participation in a referral program is a privilege, not a contractual right. Saconde may accept, reject, restrict, suspend, or remove a participant from a referral program at its discretion, subject to applicable law.

Unless otherwise stated:

Saconde’s records will control whether a referral was properly attributed, except in the event of manifest error.

9. QUALIFYING REFERRALS

A referral becomes a “Qualifying Referral” only after all applicable conditions have been satisfied, including any required waiting, return, verification, fraud-review, payment-clearance, or chargeback period.

A referral is not qualifying merely because:

Saconde may require that the Referred Customer complete a specified purchase, sale, consignment, buyout, account registration, or other qualifying activity.

10. NO SELF-REFERRALS

Participants may not refer themselves.

Prohibited self-referrals include referrals involving:

Saconde may consider legitimate referrals involving family or household members when expressly permitted by the applicable promotion and when the referred person independently controls the account and transaction.

11. REFERRAL COMMUNICATIONS AND ANTI-SPAM RULES

Referrers may share referral links or codes only with people with whom they have a genuine personal, family, business, or social relationship and only in a lawful and respectful manner.

Referrers may not:

  1. send unsolicited bulk email, text messages, direct messages, or other electronic communications;
  2. use automated messaging, scraping, bots, purchased contact lists, or mass-distribution tools;
  3. contact anyone who has requested not to receive communications;
  4. make misleading statements about Saconde or the referral benefit;
  5. impersonate Saconde or imply that the Referrer is an employee, agent, or authorized representative of Saconde;
  6. advertise referral codes through paid search, keyword bidding, coupon aggregation, domain names, social-media handles, or public commercial advertising without written permission;
  7. post referral codes on websites or platforms that prohibit promotional or referral content;
  8. send communications that violate the CAN-SPAM Act, Telephone Consumer Protection Act, state telemarketing laws, privacy laws, platform rules, or other applicable requirements;
  9. use Saconde’s trademarks, logos, copyrighted materials, or other intellectual property except as expressly authorized; or
  10. engage in harassment, deception, unlawful discrimination, or abusive conduct.

Referrers are solely responsible for their communications and their compliance with applicable law.

12. REFERRAL REWARDS

Referral rewards may consist of:

Rewards are subject to the terms disclosed with the offer. Unless required by law, promotional rewards:

Purchased gift cards and purchased store credit are governed by Saconde’s Gift Card and Store Credit Terms and applicable state law. Promotional credits are distinguishable from purchased gift cards and may have different expiration, transfer, redemption, and cash-refund rules where permitted by law.

13. RETURNS, CANCELLATIONS, AND CHARGEBACKS

If a transaction used to earn or redeem a promotional or referral benefit is returned, cancelled, refunded, reversed, disputed, charged back, or determined to be fraudulent, Saconde may, to the fullest extent permitted by law:

A refund will not exceed the amount actually paid for the returned merchandise, subject to applicable law and Saconde’s Return Policy.

14. TAXES

Participants are responsible for determining and paying any federal, state, or local taxes associated with promotional or referral rewards.

Saconde may request a completed tax form, taxpayer identification number, identity-verification information, or other documentation before issuing a taxable reward.

Saconde may withhold a reward or make required tax withholding or reporting when required by law.

15. FRAUD, ABUSE, AND DISQUALIFICATION

Saconde may investigate suspected misuse and may reject, withhold, reverse, suspend, or cancel any promotion, referral, reward, credit, discount, or account where Saconde reasonably believes there has been:

Saconde may request documentation reasonably necessary to verify eligibility, identity, account ownership, transaction validity, or compliance.

Nothing in this section authorizes Saconde to withhold a benefit that has become irrevocably vested under applicable law without a lawful basis.

16. REVIEWS AND TESTIMONIALS

A promotion may offer an incentive for submitting an honest review, survey response, testimonial, photograph, or other feedback only when permitted by law.

Any incentive:

Participants must disclose any incentive, free product, discount, payment, referral reward, or other material connection in a clear and conspicuous manner.

Saconde does not require a participant to express a particular sentiment as a condition of receiving an incentive unless the activity is not a consumer review or testimonial and applicable law expressly permits the condition.

17. NO GAMES OF CHANCE UNLESS SEPARATELY GOVERNED

These Promotion Terms do not, by themselves, establish rules for a sweepstakes, contest, raffle, lottery, or other game involving chance or judged competition.

Any such promotion will be governed by separate official rules that address, as applicable:

No Saconde employee, contractor, representative, or participant may characterize an ordinary referral program as a sweepstakes, lottery, raffle, or investment opportunity.

18. MOBILE APPLICATION AND PLATFORM TERMS

Promotions offered through a mobile application may also be subject to the applicable app store’s or platform’s terms.

Apple Inc., Google LLC, and other platform providers are not sponsors or administrators of Saconde promotions unless expressly stated.

Participants must not imply that a third-party platform endorses or sponsors a promotion without written authorization.

19. PRIVACY

Saconde may collect and process information necessary to administer promotions and referrals, including:

Information will be handled in accordance with Saconde’s Privacy Policy and applicable privacy law.

Referrers may not collect, retain, sell, disclose, or use a Referred Customer’s personal information on Saconde’s behalf unless Saconde has expressly authorized the activity in writing.

20. NO EMPLOYMENT, AGENCY, OR COMMISSION RELATIONSHIP

Participation in a customer referral program does not create an employment, independent-contractor, brokerage, franchise, partnership, joint-venture, fiduciary, agency, sales-representative, or ambassador relationship with Saconde.

A participant has no authority to bind Saconde, negotiate on Saconde’s behalf, make warranties for Saconde, accept payments, collect merchandise, enter contracts, or represent that the participant acts for Saconde.

Persons separately accepted into Saconde’s Ambassador Program are governed by Saconde’s Ambassador Program Terms and any written offer or campaign agreement.

21. PROGRAM CHANGES AND TERMINATION

Subject to applicable law, Saconde may establish, modify, suspend, or terminate a promotion or referral program at any time.

Changes will not retroactively eliminate a reward that has fully vested and become payable under the applicable offer, except where the reward resulted from fraud, mistake, reversal, return, illegality, or violation of these Promotion Terms.

Saconde may terminate or suspend a participant’s access immediately for suspected fraud, legal risk, security risk, reputational harm, or material breach.

22. DISCLAIMERS

TO THE FULLEST EXTENT PERMITTED BY LAW, PROMOTIONS, REFERRAL PROGRAMS, CODES, LINKS, REWARDS, AND RELATED SYSTEMS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SACONDE DOES NOT GUARANTEE THAT:

THESE DISCLAIMERS DO NOT EXCLUDE WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

23. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, SACONDE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM A PROMOTION OR REFERRAL PROGRAM.

TO THE FULLEST EXTENT PERMITTED BY LAW, SACONDE’S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PROMOTION OR REFERRAL PROGRAM WILL NOT EXCEED THE GREATER OF:

  1. THE VALUE OF THE PROMOTIONAL OR REFERRAL BENEFIT ACTUALLY EARNED BY THE PARTICIPANT IN CONNECTION WITH THE DISPUTE; OR
  2. ONE HUNDRED DOLLARS.

These limitations do not apply to liability that cannot be limited under applicable law, including liability arising from fraud, willful misconduct, certain statutory consumer rights, or personal injury where exclusion is prohibited.

24. INDEMNIFICATION

To the fullest extent permitted by law, a participant agrees to indemnify and hold harmless Saconde and its affiliates, officers, directors, employees, and agents from claims, damages, penalties, liabilities, and reasonable expenses arising from the participant’s:

This obligation does not require a consumer to indemnify Saconde for Saconde’s own negligence, unlawful conduct, or violations of non-waivable consumer-protection rights.

25. DISPUTE RESOLUTION

Any dispute concerning a promotion or referral program is also subject to the dispute-resolution, governing-law, arbitration, class-action-waiver, venue, and opt-out provisions contained in Saconde’s generally applicable Terms and Conditions, to the extent those provisions are valid and enforceable.

If no applicable dispute-resolution provision exists, the following applies:

25.1 Informal Resolution

Before filing a claim, the participant and Saconde agree to attempt in good faith to resolve the dispute informally for at least thirty days after written notice is received.

Notices to Saconde must be sent to hello@saconde.com and must include the participant’s name, contact information, account information, description of the dispute, and requested resolution.

25.2 Governing Law

These Promotion Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles, except that residents retain any non-waivable rights provided by the laws of their state of residence.

25.3 Venue

Unless an enforceable arbitration agreement applies, legal proceedings must be brought in a court of competent jurisdiction located in New York County, New York, except where applicable law permits or requires a consumer to bring a claim in another jurisdiction.

Nothing in this section prevents either party from bringing an eligible claim in small claims court.

26. STATE-SPECIFIC AND NON-WAIVABLE RIGHTS

Saconde intends these Promotion Terms to apply throughout the United States. Because state and local laws differ, the following principles apply:

  1. These Promotion Terms do not waive rights that cannot lawfully be waived.
  2. Any provision that conflicts with a mandatory law applicable to a participant will be interpreted or limited only to the extent necessary to comply with that law.
  3. Residents of California retain all non-waivable rights under California consumer-protection, privacy, gift-certificate, automatic-renewal, and unfair-competition laws.
  4. Residents of New York retain all non-waivable rights under New York consumer-protection, gift-card, pricing, advertising, and promotion laws.
  5. Residents of Connecticut, Colorado, Delaware, Florida, Indiana, Iowa, Kentucky, Maryland, Minnesota, Montana, Nebraska, New Hampshire, New Jersey, Oregon, Rhode Island, Tennessee, Texas, Utah, Virginia, and other states with generally applicable consumer-privacy laws retain applicable statutory privacy rights.
  6. Residents of states with special cash-redemption rules for low gift-card balances retain those rights to the extent applicable to purchased gift cards or store credit.
  7. Promotional credits provided without payment may be treated differently from purchased gift cards to the extent permitted by applicable law.
  8. Where state law prohibits expiration or fees for a particular benefit, the prohibited expiration or fee will not apply.
  9. Where state law requires particular disclosures, registration, bonding, filing, winner lists, alternative entry methods, or other procedures for a chance-based promotion, Saconde will issue separate official rules or will exclude the jurisdiction.
  10. Nothing in these Promotion Terms limits rights under state unfair-or-deceptive-acts-and-practices statutes.

27. SEVERABILITY

If any provision is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain effective.

28. NO WAIVER

Saconde’s failure to enforce a provision does not waive its right to enforce that provision or any other provision later.

29. ASSIGNMENT

Participants may not transfer or assign their rights or obligations under these Promotion Terms without Saconde’s written consent.

Saconde may assign these Promotion Terms in connection with a merger, acquisition, financing, corporate reorganization, asset transfer, or operation of its business, subject to applicable law.

30. ELECTRONIC COMMUNICATIONS

Participants consent to receive program-related communications electronically, including notices about qualification, reward status, expiration, modification, fraud review, or termination.

Marketing communications remain subject to applicable consent and opt-out requirements.
